CDH’s Real Estate Law & Conveyancing, Competition Law, and Banking, Finance & Projects teams acted as legal advisors to Mons Cellarium Properties Proprietary Limited in connection with the sale of the Bergkelder properties in Stellenbosch, Western Cape, South Africa. Following months of negotiations and engagements with the relevant parties, the Bergkelder properties were transferred to a third-party developer on 7 May 2026. This transaction represents the largest property sale by value in the recorded history of the Stellenbosch area, Western Cape.

The sale and future development of the Bergkelder properties mark a significant milestone in the revitalisation and development of the outer areas of Stellenbosch Central.

It is a settled principle in South African law that a director of a company may be removed at the whim of the shareholders, who do not need to give reasons for such removal, in terms of the procedure under section 71(1) of the Companies Act 71 of 2008 (Companies Act). On the other hand, in a scenario involving the removal of a director by the other directors on the board, under section 71(3) of the Companies Act, the director concerned must be given reasons, as only certain grounds suffice for section 71(3) purposes (e.g. ineligibility, incapacity, dereliction of duty, etc.).

An Advance Pricing Agreement (APA) is a pre-emptive and legally binding contract between a taxpayer and a tax authority to fix the transfer-pricing methodology for specified related‑party transactions over a period of time.
