Cliffe Dekker Hofmeyr is representing Middle Lusutfu Hydropower ("MLH") in the development, financing, construction and operation of the Lower Maguduza Hydro Power Scheme.
In addition to drafting and negotiating the power purchase agreement to be concluded with the utility, Eswatini Electricity Company, we have also drafted and negotiated the lease, servitude and wayleave agreements to be concluded with Early Harvest Farming (Pty) Ltd (a private land owner) as well as the office of the King of Eswatini in respect of Crown Land and Swazi Nation Land. The scheme is a circa 13.5MW hydro-electric generation facility to be located in Swaziland and is valued at 700 million Emalangeni.

High Court judgment on loan agreement dispute when a lender is not registered as a credit provider
On or about 16 January 2023, Baletsema Proprietary Limited (the lender) and Phek Engineering & Suppliers CC (the borrower) concluded a written loan agreement, where the lender advanced an amount of R500,000 to the borrower, with R100,000 payable on or before 17 February 2023 and R600,000 payable on or before 6 March 2023. This was secured by the borrower’s immovable and movable property. The loan agreement attracted administration fees and interest at an unspecified percentage but was capped at an amount of R200,000. Additionally, the loan agreement attracted a daily penalty interest of 20%, compounded monthly.

50/50 shareholders and oppressive conduct: When some shareholders are more equal than others
A fundamental principle of South African company law is “ majority rules ” – shareholders and directors are bound by the decisions of the majority even where such decisions are not in their interest. However, recognising the potential for unfair abuse of such a principle, the Companies Act 71 of 2008 (Companies Act) devised section 163, which allows a director or shareholder of a company to apply to court for relief from oppressive conduct of the company or a person related to it that unfairly disregards or prejudices the interests of the applicant. Section 163 therefore paints the picture of a majority shareholder abusing its ability to control the company to unfairly bully or oppress minority shareholders. But what happens if the shareholders are equals – can a 50/50 shareholder be oppressed by their equal? This was the question before the High Court in Van der Watt v Schoeman and Others 91 SA 531 (ECGq).
