Cliffe Dekker Hofmeyr is representing Middle Lusutfu Hydropower ("MLH") in the development, financing, construction and operation of the Lower Maguduza Hydro Power Scheme.
In addition to drafting and negotiating the power purchase agreement to be concluded with the utility, Eswatini Electricity Company, we have also drafted and negotiated the lease, servitude and wayleave agreements to be concluded with Early Harvest Farming (Pty) Ltd (a private land owner) as well as the office of the King of Eswatini in respect of Crown Land and Swazi Nation Land. The scheme is a circa 13.5MW hydro-electric generation facility to be located in Swaziland and is valued at 700 million Emalangeni.

Welcome clarification for non-resident employers
Paragraph 2 of the Fourth Schedule to the ITA mentions three requirements that trigger the withholding of employees’ tax (PAYE). There must be an “ employer ” paying “ remuneration ” to an “ employee ”. Paragraph 2 of the Fourth Schedule also distinguishes and clarifies the withholding obligation in the context of residents versus non-residents.

In June 2023, South Africa took a significant step towards enhancing the legal framework for whistle-blower protections with the release of the Discussion Document on Proposed Reforms for the Whistle-blower Protection Regime (Discussion Document), which proposes a new Whistle-blower Protection Amendment Bill (Bill). The proposed Bill has been prompted by the shortcomings in the existing whistle-blower protection regime and the findings from tribunals such as the Zondo Commission. More narrowly, the Bill’s aims are to address the shortcomings of the existing Protected Disclosures Act 26 of 2000 (Act).
