Suspension of VAT rate increase: Current status and implications

The Minister of Finance (Minister) announced in his National Budget on 12 March 2025 that the value-added tax (VAT) rate would increase from 15% to 15,5% on 1 May 2025 and again from 15,5% to 16% on 1 April 2026. The moment the Minister announced the VAT rate increases, they came into effect from these respective dates by virtue of the application of section 7(4) of the Value-Added Tax Act 89 of 1991 (VAT Act).

Court or nought? The status of the Tax Court revisited

Considerable uncertainty has arisen about the status of the Tax Court. Despite the name and the nature of its presiding officers, unlike other specialist “ courts ” established by Parliament to consider matters in specific areas of law, recent judgments have commented that the Tax Court is currently neither a court of law nor a judicial tribunal, but rather functions as an administrative tribunal. In light of the debatable justification for this state of affairs, this article posits that it may be worth reconsidering the composition and function of the Tax Court.

Court confirms right to revoke authority, even in long-term deals

On 2 May 2025, the High Court (Eastern Cape Division, Gqeberha) delivered judgment in two urgent, interrelated applications brought by applicant Stargrow Fruit Marketing (Pty) Ltd (SFM) against respondents Gamtoosvalley Farming (Pty) Ltd t/a Entabeni (Entabeni) and New Day Packaging (Pty) Ltd (New Day Packing). SFM sought orders for specific performance and enforcement of marketing agreements relating to the 2025 citrus harvest and beyond. The court dismissed both applications, finding that no enforceable new agreements had been concluded and that the respondents lawfully revoked SFM’s authority as marketingagent.

The TRP’s latest ruling on concert party determination and CFD arrangements

On 24 December 2025, the Takeover Regulation Panel (TRP) released a ruling in relation to the mandatory offer by Novus Holdings Limited (Novus) to shareholders of Mustek Limited (Mustek) announced on 15 November 2024 (Ruling). The TRP determined that Numus Capital Proprietary Limited (Numus), one of Novus’s brokers, acted in concert with Novus in relation to the mandatory offer, and that Novus held beneficial interests in Mustek shares underlying its “ contract-for-difference ” (CFD) positions notwithstanding the contractual cash-settlement nature of a CFD.
