Cliffe Dekker Hofmeyr represented AFHCO Holdings Pty Ltd (AFHCO) in the establishment of a new joint venture company, AFHCO Consortium 2 Proprietary Limited held by AFHCO (60 percent) and JR 209 Proprietary Limited (JR209) (40 percent) for the acquisition by the joint venture of residential units to be constructed and developed by JR 209 with funding from AFHCO.
This transaction involved a suite of complex legal agreements, including a subscription & shareholders’ agreement; an MOI; an agreement of sale; guarantees and a facility agreement. These agreements were required to establish the joint venture and to integrate the commercially agreed terms into the legal documentation.The transaction involved complex tax, funding and competition issues, which were resolved by our experienced team.

The magic wand of reinstatement of a deregistered company
It is a common occurrence to discover after the fact that a company was deregistered (and thus legally did not exist) during a period in which it concluded multiple juristic acts. Section 82(3) of the Companies Act 71 of 2008 (Companies Act) sets out various reasons for which a company may be deregistered, such as a company failing to file an annual return for two or more years in succession – a common oversight – without any satisfactory reasons for such failure, or the Companies and Intellectual Property Commission (CIPC) determining that a company has remained inactive for seven years and no person has shown interest in the company’s continued existence.

High Court clarifies insurer liability in Biovac v Guardrisk
The recent judgment in the Johannesburg High Court involving the Biologicals and Vaccines Institute of Southern Africa (Pty) Limited (Biovac) and Guardrisk Insurance Company Limited (Guardrisk) has provided important guidance for non-life insurers on the limits of policy repudiation, especially where regulatory non-compliance and alleged misrepresentation are at issue. The case arose after a fire at Biovac’s Cape Town facility, where losses were split between two insurers. While Allianz (having insured half of Biovac’s facility) settled its portion of the claim, Guardrisk repudiated Biovac’s claim, prompting Biovac to initiate legalproceedings.

The Expropriation Bill of 2020, as approved and signed by the President, was published on 24 January 2025. It is now formally known as the Expropriation Act 13 of 2024 (New Act).
