Is there a requirement for a company to appoint a company secretary in Ghana?

Yes. It is a mandatory requirement for all companies in Ghana to have a company secretary. Per section 211 of Act 992, an individual or a body corporate may be appointed as a company secretary. The appointed person or entity must have obtained a professional qualification or tertiary level qualification with the requisite skills to perform the duties of a company secretary or must have held office as a company secretary, a chartered accountant, or a lawyer. The appointed company or individual must consent to it and there must be proof of it in writing.
