Roux van der Merwe is a Director in our Corporate & Commercial practice. His areas of expertise include structuring, negotiating and implementing mergers and acquisitions, including related financing, black economic empowerment transactions, including related financing, joint ventures, company formations, listings, delistings and restructures, share incentive schemes, capital markets, vendor financing and advising on public and private enterprise  transactions  in general. Roux has extensive experience in cross-border private equity transactions in the financial services industry, as well as the information technology and property industries.

After completing his articles Roux commenced his professional career in 2001 at Glyn & Marais Incorporated, a niche commercial law firm with offices in Sandton and Cape Town. He was appointed as a Partner in 2005. He joined Cliffe Dekker Hofmeyr in January 2013 as a Director.

  • Advised the existing shareholders of We Buy Cars on the investment by Transaction Capital of a 49% interest in We Buy Cars.
  • Advised Excellerate Property Services on the merger of its business with CBRE.
  • Advised Actis PE fund on its disposal of Ghana Home Loans Bank to FNB.
  • Advised Chroma Capital on its acquisition of Pioneer Slots.
  • Advised Apis partners on its acquisition of Efficient Group Limited and WiGroup.
  • Advised Vox Telecommunications and Frogfoot Networks on various M&A transactions in the ICT sector.
  • Advised RMB Corvest and Shalamuka Capital on the disposal of Q-Link to the Multiply Group.
  • Advised Sishen Iron Ore Company Proprietary Limited on its disposal of the Thabazimbi iron ore mine to Arcelor Mittal South Africa Limited.
  • Advised RMB Corvest and management on the disposal of Kwikot Proprietary Limited to Electrolux.
  • Advised Growthpoint Properties Limited on its 50% acquisition of the V&A Waterfront, Cape Town.
  • Advised Excellerate Holdings Limited on its acquisition of the Templewood group and the LCC group in the United Kingdom.
  • Advised DRA Group on its acquisition of Senet.
  • Advised Capital Eye Investments on the establishment of Crossfin Technology Holdings Proprietary Limited and the co-investment by a private equity fund.
  • Advised Business Connexion Group Limited on the disposal of one of the businesses acquired from UCS Group Limited to VeriFone Limited.
  • Advised Reunert Limited on various acquisitions in the ICT sector.
  • Advised Investec Bank Limited on its acquisition of an interest in Branch Engineering Proprietary Limited.
  • Advised RMB and RMB Corvest on various private equity acquisitions and disposals.
  • Advised the shareholders of Shoden Data Systems Proprietary Limited on the disposal of that company to Hitachi (Japan).
  • Advised Excellerate Holdings Limited on its alliance with Cushman & Wakefield and subsequently CBRE International.
  • Advised Excellerate Property Services Proprietary Limited on its acquisition of the Enforce security group.
  • Advised one of the North-American shareholders in AgriGroupe Holdings Limited on AgriGroupe's acquisition of AFGRI Limited.
  • Advised Investec Bank Limited on its acquisition of Vumatel Proprietary Limited.
  • Advised Vox Telecommunications on various acquisitions and disposals in the ICT sector.
  • Advising various insurance underwriters on Warranty and Indemnity Insurance transactions in the M&A marketplace.
  • Advised Sanlam on its disposal of the San Sereno Retirement Village to the Oppenheimer family.
  • Advised RMB Corvest and the purchasing consortium on the acquisition of the Tolcon road concessionaire business from Murray & Roberts.
  • Advised Norgine BV on the disposal of its South African pharmaceutical business to Aspen Healthcare.
  • Advised JHI Properties on the merger of its property retail management business with the property retail management business of the Liberty Group, resulting in a new property management business managing a property portfolio valued in excess of R35billion.
  • Advised Kagiso Tiso Holdings on its acquisition of a 51% interest in Servest Group Proprietary Limited.
  • Advised the shareholders of Fintech Proprietary Limited in the acquisition by Sasfin Bank of the entire issued share capital of Fintech.
  • Roux was recommended by Legal 500 EMEA 2021 commercial, corporate and M&A. In 2015–2017 he was recommended for commercial, corporate and M&A.
  • IFLR1000 2022 recommended Roux as a highly regarded practitioner for M&A.
