Magano Erkana is a Director in the Banking, Finance & Projects practice, based in the Windhoek office. She has extensive experience in corporate law, corporate governance, mergers and acquisitions, and project finance, with a strong track record advising local and international clients on complex financial transactions, regulatory compliance, and strategic structuring across multiple sectors. Magano has advised on numerous high-value financing and infrastructure transactions, public-private partnerships, and regulatory mandates, representing lenders, borrowers, and development finance institutions in multi-million-dollar projects, listings, and cross-border matters. She is recognised for her strategic insight, technical expertise, and ability to deliver pragmatic, commercially focused legal solutions within Namibia’s evolving business and regulatory landscape.

About Magano

Magano completed her articles in Pretoria (at the law firm, Ledwaba Mazwai Attorneys) and was admitted as an Attorney in April 2004. She relocated to Namibia in 2005 and worked as in-house Legal Counsel at Standard Bank Namibia Ltd from May 2005 to June 2016. During her tenure at Standard Bank, Magano was involved in providing legal support to all areas of Standard Bank, including Credit, Forensics, Human Resources, Information Technology, Procurement, as well as lending to the Personal, Business, and Corporate market segments. On 01 July 2016, she was admitted as a Legal Practitioner in Namibia and commenced as a Director at the law firm, Dr. Weder, Kauta & Hoveka Inc., heading the Commercial Department.

Magano was appointed as a Director of Kauta, Barendse and Kishi Inc t/a CDH Namibia, effective 1 September 2025.

  • Acted as lender's legal counsel on the financing by Absa Bank Ltd to Jedidja Investments (Pty) Ltd for a residential property development, in 2017 matter value N$55 million.
  • Acted as lender's legal counsel on the financing by Standard Bank Namibia Ltd to Swakopmund Uranium (Pty) Ltd, in 2018 matter value USD 40 million.
  • Acted as lender's legal counsel on the financing by the Development Bank of Namibia to Ongos Valley for the financing of the bulk servicing of the land in 2019.
  • Appointed as the legal counsel for the listing of SBN Holdings on the Namibian Stock Exchange in 2019.
  • Acted as lender's legal counsel on the refinancing of Tsumeb Mall (Pty) Ltd's existing debt by Absa Bank Ltd, in 2019 matter value N$62 million.
  • Reviewed the Standard Bank Namibia standard facility agreement and customised it for financing and refinancing of various corporate clients of Standard Bank Namibia in 2021.
  • Advised the Government Institutions Pension Fund on the regulatory compliance for its acquisition of MTC shares, through an asset manager, in 2021.
  • Appointed as financer’s legal counsel for the financing by Mergence Namibia Infrastructure Fund Trust of the residential property development by Sinco Investments Sixty One (Pty) Ltd, in 2021.
  • Acted as lender's legal counsel on the refinancing by Absa Bank Ltd to Oryx Properties Ltd, in 2021 matter value N$400 million.
  • Acted as lender's legal counsel on the financing by Absa Bank Ltd to Demushuwa Properties for the development of the Hilltop Village, in 2022 matter value N$116 million.
  • Acted as lender's legal counsel on the refinancing by Absa Bank Ltd to Oryx Properties Ltd for the development of the extension to Maerua Mall, in 2022 matter value N$200 million.
Training
  • Provided training to the executives and other employees of the Development Bank of Namibia on the following topics: Essentials of Contracts; Common Law Principles; Regulatory framework for the Development Bank of Namibia; Project Finance; Loan Market Association-based agreements; and overview of Public Private Partnerships under the Public Private Partnership Act, in 2018.
  • Provided training to the executives and other employees of the Development Bank of Namibia on preference shares in 2021.

  • Conducted legal due diligence on behalf of Standard Bank Namibia for its acquisition of a majority stake in Mobicash Payment Solutions (Pty) Ltd, drafted the acquisition agreements and assisted with obtaining the merger approval from the Namibia Competition Commission, in 2018.
Government & State-Owned Enterprises
  • Drafted standardized Public Private Partnership Development Agreements on behalf of City of Windhoek to be used for its various developments within Windhoek in 2017.
  • Drafted Public Private Partnership Agreements for (i) light industrial park; (ii) private school; and (iii) truck port on behalf of Ongwediva Town Council, in 2018.
  • Was the legal counsel on the transaction team (led by Monasa Advisory & Associates) that was appointed by Namibia Grape Company to provide consultancy services which included conducting a legal analysis on its existing contractual arrangement with Capespan (Pty) Ltd, advising on the proposed commercial options, drafting a new joint venture agreement and reviewing the marketing agreement, during 2023 and 2024.
  • Was the legal counsel on the transaction team (led by Monasa Advisory & Associates) that was appointed by the Namibia Industrial Development Agency Grape Company to provide consultancy services which included conducting a legal analysis on all its contractual relationships, providing the legal input on the proposed commercial options, in 2024.
  • Was the legal counsel on the transaction team (led by Monasa Advisory & Associates) that was appointed by Namibia Water Corporation pertaining to the establishment of a water pipe manufacturing plant in Namibia, during 2025.

  • Provided Compliance Regulatory Training to the employees of B2Gold Namibia in 2017.
  • Conducted legal due diligence on behalf of Shenzhen Wanrun Mining Co. Ltd on various prospecting licences held by Namibian individuals and entities in 2023.
  • Conducted a legal due diligence on behalf of a foreign investor into Makasi Minerals (Pty) Ltd and its prospecting licences, in 2023.
  • Acted as lender's legal counsel on the financing by Absa Bank Ltd to Demushuwa Properties for the refinancing of existing debt and acquisition of immovable property, in 2023 matter value N$59.5 million.
  • Acted as lender's legal counsel on the financing by Old Mutual Ltd to Roots Gymnasium Private School for the construction, development, ownership and operation of the private school, in 2023 matter value N$18 million.
  • Acted as lender's legal counsel on the financing by RMB Namibia to Bokomo Namibia (Pty) Ltd for the refinancing of existing debt and financing of capital expenditure, in 2023 and further refinancing in 2024 matter value N$106 million.
  • Acted as lender's legal counsel on the financing by RMB Namibia to Alternative Electricity Consultants (Pty) Ltd to acquire additional shares in Alpha Namibia Industries Renewable Power Limited (listed Capital Pool Company on the Namibian Stock Exchange) matter value N$40 million.
  • Acted as borrower’s legal counsel on the financing by Standard Bank Namibia for the Namibia Financial Institutions Supervisory Authority new head office, during 2023 and 2024.
  • Appointed as lender's legal counsel for financing by Standard Bank Namibia to Tenbergen Holdings (Pty) Ltd on their acquisition of immovable property, in 2024 matter value N$58.5 million.
  • Acted as lender's legal counsel on the financing by RMB Namibia to Alpha Namibia Industries Renewable Power Limited (listed Capital Pool Company on the Namibian Stock Exchange) for the purpose of funding special purpose companies incorporated to develop and operate solar photovoltaic projects in Namibia, in 2024 matter value N$400 million.
  • Was part of the legal team (led by Magano) appointed as lender's legal counsel on the refinancing by Standard Bank Namibia and The Standard Bank of South Africa (on a project finance basis) of existing debt in Omburu Sun Energy (Pty) Ltd, being the project company operating a 4.5 MW power plant, 2024 to 2025.
  • Acted as lender's legal counsel on the financing by RMB Namibia to Walvis Bay Grain Storage (Pty) Ltd for the purchase of immovable property and development of additional grain silos on the property, in 2025 matter value N$190 million.
  • Drafted the Investment Plan, Management Agreement, and Subscription Agreement for the application by Twenty Thirty Infrastructure Fund and Redwood Capital Investments to the Namibian Financial Institutions Supervisory Authority as unlisted fund and unlisted investment manager, respectively, in compliance with the Regulations issued under the Pension Funds Act, during 2018.
  • Drafted the Investment Plan, Management Agreement and Subscription Agreement for the application by African Rock Sandstone Fund and African Rock Capital to the Namibian Financial Institutions Supervisory Authority as unlisted fund and unlisted investment manager, respectively, in compliance with the Regulations issued under the Pension Funds Act, during 2018 and 2019.
Projects & Energy
  • Was part of the legal team in providing legal support to Ongos Valley in the structuring of the Ongos Valley Development which key deliverables included: drafting the financing agreements for the financing by the Development Bank of Namibia in respect of the bulk servicing of the land; the registration of the Sale on Instalments Asset Backed Domestic Medium Term Note Programme on the Namibian Stock Exchange; and the establishment of the Cadence Building Society, from 2019 to 2025.
  • Reviewing of the project documents and drafting of the share sale agreement for the acquisition by Alpha Namibia Industries Renewable Energy Power Ltd, of the solar photovoltaic power plants in Keetmanshoop and Mariental, in 2023.
Agriculture
  • Conducted a legal due diligence on behalf of a foreign investor intending to acquire all the shares in Silverlands Vineyards (a grape and date vineyard located in Aussenkehr, Namibia), in 2025.

Technology, Media & Telecommunications

  • Provided a legal opinion to an international client with regard to the applicable laws in Namibia pertaining to the client fitting communication devices in vehicles that are sold in Namibia and used by the purchasers, in 2022
  • Provided a legal opinion to an international client with regard to the Communications Act, 2009, and relevant regulations pertaining to the installation of software in vehicles to capture images in the use of those vehicles, in 2023
