Arbitration: Careful drafting applies as much to the arbitration agreement as to the pleadings

An agreement to arbitrate a specific issue will generally describe both the issue the arbitrator is required to decide and the arbitrator’s powers. The arbitrator has no power beyond the agreed terms of reference. The parties will then usually set out their respective claims or defences in documents referred to as pleadings. Unless the terms of reference are broad, for example allowing the arbitrator to decide whatever issues arise from the pleadings, the arbitrator may be restricted by what is in the terms of reference. Even if the terms of reference are broadly to deal with any dispute that arises on the pleadings, anything not “ on the papers ” would seem to be excluded.

Freedom of expression in South Africa is guaranteed by the Bill of Rights. This includes, inter alia , freedom of speech, access to information, and, importantly, media freedom. The right to freedom of expression is fundamental and a prerequisite in any democracy. The post-1994 South African media landscape is turbulent and often somewhat adversarial. However, just like any other right enshrined in the Constitution, the right to freedom of expression may be limited where it is justifiable and reasonable. Even the media’s freedom may be constrained to protect another constitutional right or to preserve the integrity of the administration of justice.

In last week’s Tax and Exchange Control Alert we discussed the Constitutional Court’s (CC) majority judgment in Arena Holdings (Pty) Ltd t/a Financial Mail and Others v South African Revenue Service and Others ZACC 13 which was handed down on 30 May 2023. This week we take a closer look at the minority judgment. The minority held that the High Court’s order to declare sections 35 and 46 of the Promotion of Access to Information Act 2 of 2000 (PAIA) and sections 67 and 69 the Tax Administration Act 28 of 2011 (TAA) unconstitutional to the extent that they preclude access to tax records by a person other than the taxpayer, evenwhere the requirements of, the “ public interest override ” are met, should not be confirmed.

The manner in which evidence is obtained and relied upon during forensic investigations plays a critical role in the whole investigative process, especially in establishing investigation findings and making recommendations that can be acted upon. In the context of internal corporate investigations, it is often challenging to obtain the required information from employees who are subjected to the investigation processes where such information is not known or accessible to the employer. While it is known that forensic investigators have the capabilities to obtain the necessary information, in order to maintain the integrity of the evidence, information must be obtained legally and directly from the relevantsources.
