No blissful ignorance for non-compliance: The Turquand rule and section 20(7) in the context of special resolutions and fundamental transactions

The Turquand rule has been discussed and fairly applied in the South African jurisprudence. However, an interesting question remains as to whether the Turquand rule or section 20(7) of the Companies Act 71 of 2008 (Companies Act) can be used to compel a party to implement a transaction where the party has not complied with the applicable provisions of the Companies Act requiring a special resolution of shareholders for the disposal of all or a greater part of the company’s assets or undertaking, amalgamation or merger, or a scheme of arrangement (fundamental transactions). The jurisprudence has adopted the take-no-prisoners approach sofar.

When sharing isn’t caring: A judgment on South Africa’s exchange control rules

Each South African resident natural person is afforded an annual single discretionary allowance of R1 million (SDA) by the South African Reserve Bank (SARB) under section B.4(A) of the Currency and Exchanges Manual for Authorised Dealers (Manual). As discussed in previous alerts, the Manual contains the exceptions and permissions that are contemplated in the Exchange Control Regulations, 1961 Regulations. The SDA can be used for any legal purpose abroad, including when travelling overseas, for making offshore investments, and for generally remitting funds offshore as may be necessary and as is permitted.

Greater certainty as to when biodiversity offsets can be recommended as suitable mitigation measures in applications for environmental authorisation

On 23 June 2023 the Minister of Forestry, Fisheries and the Environment published the National Biodiversity Offset Guideline (Guideline) in Government Notice 3569 of Government Gazette 48841. In The Municipal Manager: The City of Johannesburg Metropolitan Municipality and Others v San Ridge Heights Rental Property (Pty) Ltd (517/2022) ZASCA 109 the Supreme Court of Appeal (SCA) was confronted with a case in which the owner of a property exhausted all internal remedies before launching a review application; the review application was launched timeously; and even after the launch of an internal appeal, the City of Johannesburg (Municipality) had failed to file reasons for its decisions. In this article, we will explore the principles established by the SCA and their broader implications.
