Business rescue with an ulterior purpose

A financially distressed company facing a liquidation application may be tempted to try and avoid or delay the inevitable by launching a business rescue application in order to suspend the liquidation process. However, if there is no merit in such an application, it will inevitably be found by the courts to be an abuse of process and the stratagem will thus be doomed to failure. The Supreme Court of Appeal in the case of PFC Properties (Pty) Ltd v Commissioner for the South African Revenue Services and Others (543/21; 409/22) ZASCA 111; (1) SA 400 (SCA) (21 July 2023) adjudicated precisely thisscenario.

The value of a thorough due diligence process in any merger/acquisition transaction cannot be overstated. Not only does a due diligence (DD) provide comfort to an investor that the financial, operational and legal risks of its investment have been identified and mitigated, but it also provides scope for assessing and testing the valuation of the target. The role of shareholders in business rescue proceedings

One of the stated purposes of the Companies Act 71 of 2008 (Companies Act) is to promote innovation and investment in South African markets and provide for the efficient rescue and recovery of financially distressed companies, in a manner that balances the rights and interests of all relevant stakeholders, including shareholders. Business rescue is therefore widely accepted as an alternative to liquidation for financially distressed companies, with the intention of giving such companies the opportunity to reorganise and restructure their affairs for them to regain their solvency. To this end, the definition of “ affected persons ” includes creditors, employees (or their representative), a registered trade union and shareholders. The role played by each “ affected person ” is unique in many ways but can have an impact on the failure or success of any business rescue proceedings.
