Allan Hannie is a Director in our Corporate & Commercial practice. He specialises in mergers and acquisitions, corporate law, Broad -Based Black Economic Empowerment (B-BBEE), consumer protection, credit law (specifically the National Credit Act) and data protection.

Allan started his career in 1997 at Hofmeyr (now Cliffe Dekker Hofmeyr) and became a Director in 2002.

Areas of expertise

Experience

  • Advised consortium including current founders of Vunani Capital and Sygnia Asset Management on the acquisition of the core assets of African Harvest by way of a scheme of arrangement and subsequent sale of African Harvest to Cadiz (2002 to 2007).

  • Advised Cape Empowerment Trust in a number of transactions particularly in relation to the acquisition of interests (directly and indirectly) in Grand Parade Invesments including the proposed takeovers of Sancino and BLRT Investments (2005 to 2006).

  • Advised Brimstone Investment Corporation in relation to the negotiations and structuring of a number of acquisitions and investments particularly in the clothing and textile industries (Novel and Rex Trueform) (2007).

  • Advised and assisted Denel in a number of projects and disposals and due diligence of its Western Cape operations required as part of a planned disposal of interests in Denel's munitions business (2007 to 2010).

  • Advised CFBT Education Trust, a UK education institution, in relation to a number of investments and acquisitions of schools in South Africa (2004).

  • Advised Damen Shipyards in relation to its ship building contract and negotiate offset agreement (2001 to 2002).

  • Advised the Southern Spars Group (an international carbon fibre mast manufacturing group) in its acquisition of several South African operations (2008).

  • Advised Groupon, a major US electronic commerce company, on its acquisition and further investment into South Africa (2011).

  • Advised Fossil Europe B.V. in relation to its acquisition and investment in South Africa through the acquisition of a majority interest in a distributor (2014 to 2015).

  • Acted for the City of Cape Town in relation to its (then) largest property acquisition from AECI (2015).

  • Acted for Sygnia Limited in relation to the listing of its securities on the JSE Exchange and ESOP scheme (2015).

  • Acted for Africa Energy Corp in relation to is transaction with Arostyle Investments and Impact Oil and Gas (2020).

  • Acted for Premier Fishing in its listing on the JSE (2017).

  • Acted for Yard Investments in relation to its B-BBEE transaction with Italtile (2019).

  • Acted for Old Mutual in its disposal of its interest in a pathology business to Lancet Laboratories (2018).

  • Acted for Old Mutual in relation to the outsourcing of its internal audit function (2020).

  • Acted for Old Mutual (Properties) in its acquisition of Bedford Square properties (2020 to 2021).

  • Acted for Permoseal and its shareholders in its disposal to Arkema (France) (2021 to 2022).

  • Advising a number of multinational and South African clients on the application of B-BBEE laws in South Africa including advising on appropriate black ownership constructions and funding considerations.

  • Devising, structuring and drafting founding documents and related funded and governance agreements in relation to various broad based ownership vehicles including ESOP's and B-BOS's.

  • Drafting shareholder agreements, MOI's and terms for instruments such as non-equity (for B-BBEE purposes) funding instruments.

  • Providing advisory opinions on the application of the provisions of B-BBEE Codes and B-BBEE Act and scorecard compliance.

  • Advising on and drafting ESD and supplier development agreements.

  • B-BBEE due diligence investigations; and representing clients in engagement with the B-BBEE Commission.

  • Advise a number of listed and unlisted clients in relation to their compliance with the Consumer Protection Act and Protection of Personal Information Act (POPI) and EU data protection laws including drafting of appropriate policies and agreements.
