How do you go from the Boston Marathon to a street corner in Westlands at 8AM? Not with a title. Not with a strategy deck. But with trust. Emily Chepkor had all the 'right' credentials: Alliance high school alumna, Law school graduate, two-time Boston marathon qualifier. On paper, her path was clear. But her real leadership story didn’t start in a courtroom, or even on the track; it started on a sidewalk with three people, no brand, no budget, no guarantees.

Today, she’s built one of the most powerful fitness communities in Nairobi, not through virality, but through consistency. Showing up. Every Saturday. Non-compliance with section 41(1) of the Companies Act: When you have an issue with an issue

The Companies Act 71 of 2008 (Companies Act) is no stranger to the possibility that the board of a company and its shareholders may not always see eye to eye, and while the board is given the responsibility and power to operate the company, certain protections are afforded to the shareholders in respect of fundamental matters. For instance, the board is empowered by the Companies Act to issue shares, but subject to the limitations contained in section 41. One such limitation is that an issue of shares must be approved by a special resolution of the shareholders if the shares are issued to a director of the company (present of future), prescribed officer (present or future) or a person related or interrelated to the company or a director/prescribed officer. This does not apply to all issues of shares as some are exempted from compliance, such as an issue of shares in the exercise of a pre-emptive right or an issue that is in proportion to existing holdings.

The Conflict of Interest Act 11 of 2025 (the Act) was assented to on 30 July 2025 and came into force on 19 August 2025, repealing the Public Officer Ethics Act. The Act establishes a robust framework for preventing, identifying and addressing conflicts of interest in the public service. It redefines the boundaries between public duty and private interest, introduces stricter prohibitions, and grants wider enforcement powers to the Ethics and Anti-Corruption Commission (the EACC). While designed to regulate public officers, the Act’s provisions have direct and far-reaching implications for businesses that supply goods and services to Government, participate in public procurement, engage in public-private partnerships, or hire former public officials.
