The legal nature of preference share funding

On 16 August 2025 National Treasury and the South African Revenue Service published a Draft Taxation Laws Amendment Bill (TLAB), which proposed to amend section 8E of the Income Tax Act 58 of 1962 (ITA), by providing that any share treated as a “ financial asset ” under International Accounting Standard 32 would in the future be regarded as a hybrid equity instrument. The effect of that proposal, had it been adopted, was that dividends that became payable in respect of various instruments, including “ funding ” preference shares, would be treated as income and would accordingly be taxable.

In the nine years since the release of its predecessor King IV, the South African governance landscape has shifted in line with local legislative developments, global trends, technological advancements and increased expectations in respect of ethical and effective leadership. The introduction of King V, as a direct response to these shifts and the concomitant challenges which accompany them, is a welcome one.

Lock-out legitimised: The legality of lock-outs in negotiating employee benefits

In the recent case of South African Commercial Catering and Allied Workers Union (SACCAWU) obo Members v Phala N.O and Others 2 BLLR 176 (LAC) the Labour Appeal Court (LAC) confirmed that a lock-out initiated by an employer during negotiations with employees over a new contract is lawful if it relates to disputes over benefits that have not yet been agreed upon or acquired. Such issues fall under the scope of mutual interest rather than rights disputes and may be resolved through industrial action
