Land Bank decisions clarify insurers’ governance obligations and powers of the Prudential Authority

Two recent decisions – a Financial Services Tribunal (Tribunal) ruling and a Gauteng High Court judgment – have clarified the Prudential Authority’s (PA) powers under the Financial Sector Regulation Act 9 of 2017 (FSRA), the transitional application of section 23(1)(a) of the Short-term Insurance Act 53 of 1998 (STIA), and governance obligations under the Insurance Act 18 of 2017 (Insurance Act). These cases arose from administrative penalties imposed on Land Bank Insurance Company SOC Limited (LBIC) and Land Bank Life Insurance Company SOC Limited (LBLIC) and provide important lessons for insurers on compliance and enforcementrisk. 

Profit at your peril: Highest UK court reinforces strict ethic on corporate opportunities

A director cannot, without express permission of the company, go it alone and pursue a corporate opportunity that is in the same line of business as the company’s; and resigning in order to do so will not absolve them of this duty. The primary remedy for the company in this regard would be a disgorgement of profits. So strict is this ethic, and so narrow are its exceptions, that one may wonder if the rule is entirely reasonable in all cases. Nevertheless, in the landmark case of Rukhadze v Recovery Partners GP Ltd UKSC 10 the UK Supreme Court has recently rejected attempts to water down the fiduciary duties of directors in thisregard.  

Putting Kenya’s New Advance Pricing Agreement Regime in Context

An Advance Pricing Agreement (APA) is a pre-emptive and legally binding contract between a taxpayer and a tax authority to fix the transfer-pricing methodology for specified related‑party transactions over a period of time. APAs determine in advance how prices (or margins) between related companies will be set so that the arm’s‑length principle is satisfied. APAs can be unilateral (between one taxpayer and one tax authority) or bilateral and multilateral (involving two or more jurisdictions under a tax treaty).
