Better late, or better never? Government wants to tighten rules on taxpayers incurring losses
Expenditure and losses incurred by individual taxpayers are generally deductible against their income under section 11(a) of the Income Tax Act 58 of 1962 (ITA), read with section 23(g), provided certain requirements are met. In other words, tax policy allows such expenses when they are, amongst other things, considered to produce income and are incurred pursuant to a trade. A taxpayer could also theoretically find themselves in a loss-making position in respect of a trade for more than one year.

Power struggle: Eskom’s bid to reserve grid capacity denied

Court affirms the binding nature of articles of association in shareholder disputes
In a ruling delivered on 21 May 2025 in Kagau and Another v Nyaga and Another; Kangerwe Holding Company Limited (Interested Party) (Commercial Case E003 of 2024 ) KEHC 6418 (KLR) the High Court dismissed an application for dispute resolution brought by certain shareholders and directors of a company for being contrary to the articles of association of the company (articles). The court held that the application was inadmissible on grounds that the parties had failed to first refer their dispute to arbitration, as required by the articles.

Kenyan High Court rules that unregistered foreign lenders cannot sue defaulting borrowers
Advancing credit and having means to enforce against a borrower on default are fundamental to the operations of any financial institution. Recently, the High Court of Kenya has issued some puzzling decisions, creating uncertainty regarding the ability of foreign companies incorporated outside Kenya to enforce loan agreements with Kenyan counterparties in Kenyan courts. In summary, the courts have held that foreign lenders who have not registered in Kenya lack the legal capacity to enforce their rights against borrowers who default on loan repayments.

Tribunal takes no nonsense with director removals
Section 71 of the Companies Act 71 of 2008 (Act) sets out the process of removing a director of a company. Usually, subsections 3 and 4 would apply, which prescribe (i) a shareholder or board resolution authorising such removal; and (ii) prior notice of such resolution being given to the affected director. In the case of Howard N.O v Powell and Another (CT01682ADJ2024) COMPTRI 57 (24 May 2024), the Companies Tribunal (Tribunal) confirmed the process of the alternative mode of removal of a director when there are fewer than three directors in theboard.
