CDH is working with the PSG Group on a complex deal, valued at over R20 billion, that incorporates M&A, capital markets and restructuring.
Our team is advising PSG on the restructuring of the group, which includes the unbundling of all PSG Group's shares in PSG Konsult, Kaap Agri, Curro, Stadio and CA Sales, which are all listed on the Johannesburg Stock Exchange. This restructuring falls under the Companies Act 71 of 2008 because, ahead of its delisting, the PSG Group is disposing of the majority of its assets and repurchasing shares from the majority of shareholders in terms of a scheme of arrangement.

In the recent case of South African Commercial Catering and Allied Workers Union (SACCAWU) obo Members v Phala N.O and Others 2 BLLR 176 (LAC) the Labour Appeal Court (LAC) confirmed that a lock-out initiated by an employer during negotiations with employees over a new contract is lawful if it relates to disputes over benefits that have not yet been agreed upon or acquired. Such issues fall under the scope of mutual interest rather than rights disputes and may be resolved through industrial action

The Companies Amendment Act 16 of 2024 (First Amendment Act) and the Companies Second Amendment Act 17 of 2024 (Second Amendment Act) (collectively, the Amendment Acts) were signed into law on 26 July 2024, amending the Companies Act 71 of 2008 (Companies Act). Rather unexpectedly, it was proclaimed that certain sections of the First Amendment Act and the entirety of the Second Amendment Act became effective from 27 December 2024.

On 17 June 2022, the Western Cape High Court handed down a judgment in Community Schemes Ombud Service v Stonehurst Mountain Estate Owners Association (12399/2021) ZAWCHC 126 (17 June 2022) in terms of which it declared that the Community Schemes Ombud Service (CSOS), its staff members and its adjudicators are all immune from costs orders in respect of legal proceedings instituted against the CSOS in the High Court.
