CDH is working with the PSG Group on a complex deal, valued at over R20 billion, that incorporates M&A, capital markets and restructuring.
Our team is advising PSG on the restructuring of the group, which includes the unbundling of all PSG Group's shares in PSG Konsult, Kaap Agri, Curro, Stadio and CA Sales, which are all listed on the Johannesburg Stock Exchange. This restructuring falls under the Companies Act 71 of 2008 because, ahead of its delisting, the PSG Group is disposing of the majority of its assets and repurchasing shares from the majority of shareholders in terms of a scheme of arrangement.

On 27 November 2025, the Labour Appeal Court (LAC) delivered judgment in the matter of Electro Hydro World (Pty) Ltd v Murray and Roberts Cementation (Pty) Ltd and Others (JA132/24) ZALAC 62, concerning the application of section 197 of the Labour Relations Act 66 of 1995 (LRA) to the transfer of a grout business at a mine shaft. The central issue was: did the transfer of operations from one contractor to another, following a tender process, constitute a transfer of a business as a going concern, thereby triggering the automatic transfer ofemployees?

AI gone rogue: Are employers liable when workplace AI harms employees?
When Anthropic released its Claude 4 evaluation report, a particular finding sparked significant discussion among artificial intelligence (AI) safety researchers: during testing scenarios, Claude Opus 4 blackmailed a human overseer to avoid deactivation. In another study, a recovering methamphetamine addict struggling with withdrawal and worried about losing his job as a taxi driver due to exhaustion was encouraged to take a “ small hit of meth ” to get through the week. As employers race to deploy AI platforms within their organisations, these findings raise an urgent question: If these events were real workplace incidents, who, if anyone, would be liable for any resultant harm?
