We reviewed the facility agreement and advised them on the structure of the financing.
This deal is significant because Deevabits is a social enterprise that distributes solar products to off-grid rural areas in Kenya using last-mile distribution approach.

SARS v PAJA: The saga continues
Beginning most prominently with the original hearing of ABSA Bank Limited v Commissioner, SARS (3) SA 513 (GP) in the High Court (which we previously discussed here ), a taxpayer’s right to approach the High Court to request the administrative review of SARS’ decisions has been a bone of contention between SARS and taxpayers. Although the ABSA case was put to bed by the Constitutional Court earlier this year (it was consolidated with four other cases in United Manganese of Kalahari Proprietary Limited v Commissioner, SARS and Four Other Cases (5) BCLR 530 (CC)), the most recent case to reach the High Court in this saga between SARS and taxpayers came in the form of Kerbyn Cape 2 Proprietary Limited v Commissioner, SARS (15899/2023) ZAWCHC 308.

A new era of employer accountability regarding mental health in the workplace
A significant decision delivered by the Employment and Labour Relations Court has firmly placed mental health on the compliance radar for Kenyan employers. In AWW (Suing as Next Friend and Mother of GWW) v Central Bank of Kenya (Cause E888 of 2022) KEELRC 13585 (KLR) (18 December 2024) the court found that failing to accommodate an employee’s known mental health condition amounted to indirect discrimination and procedural unfairness.

High Court upholds the tax reality for Kenya’s private equity deal environment
Kenya’s High Court in ECP Kenya Limited v the Kenya Revenue Authority HCCOMMITA/E215/2023 has upheld a decision from the Tax Appeals Tribunal (the TAT) in ECP Kenya Limited v Commissioner of Domestic Taxes (Appeal 335 of 2022) KETAT 969 (KLR) (6 October 2023) (the Judgment), that will reshape discussions around how private equity (PE) funds will structure and exit investments in Kenya. Although the matter centred on whether gains from an offshore disposal could be taxed locally, the real significance lies in what the ruling signals for dealmaking confidence and investor expectations in Kenya, East Africa’s largest private-capital market.
