We reviewed the facility agreement and advised them on the structure of the financing.
This deal is significant because Deevabits is a social enterprise that distributes solar products to off-grid rural areas in Kenya using last-mile distribution approach.

Section 45(2A) carve-out under the Companies Amendment Acts
The President has signed the Companies Amendment Act 16 of 2024 and the Companies Second Amendment Act 17 of 2024 (collectively referred to as the Amendment Acts) into law. These legislative instruments introduce substantial reforms to the Companies Act 71 of 2008 (Act). The Companies Second Amendment Act is fully operational, while only select provisions of the Companies Amendment Act have commenced. The remaining provisions are expected to come into effect once the necessary updates to the Companies Regulations are finalised.

The conundrum of unsolicited bids
Municipalities regularly receive unsolicited bids, which are offers by third parties on their own initiative and without an invitation from a municipality to provide the municipality with goods or services. The general principle is that municipalities are not obliged to consider unsolicited bids as they fall outside the normal bidding process. In the circumstances, when a municipality does choose to consider an unsolicited bid it must do so within the prescribed legislative framework.
