Advising AgDevCo Limited on a syndicated financing to a consortium of companies including Afrimac Nut, Sagana Nuts, The Village Nut and Jumbo Nut.
We reviewed the facility agreement, drafted and perfected the transaction security and issued capacity and enforcement opinions in relation to the syndicated financing.
Syndicated lending is not common in this market and the number of parties involved compounded the complexity in this interesting brief. The impact of the transaction will be significant in that it will boost agricultural value additional and offering of better prices and market for farmers. You contact a firm of conveyancing attorneys for advice and guidance as to what can be done, and they advise you that an application for a replacement of the title deed in terms of Regulation 68(1) of the Deeds Registries Act 47 of 1937 (Act) will need to be submitted (see previous alert on Title Deeds are meant to be kept safe, not for inspiring young pilots ). However if the deeds registries’ copy is not available then an application for a certificate of registered title taking the place of a lost, destroyed, incomplete or unserviceable deed in terms of section 38 of the Act will need to be made.

Court orders removal of livestock from South African farm
In a recent judgment from the Land Claims Court in Moladora Trust v Mereki and Others (189/2023) ZASCA 37 (3 April 2024) , the Moladora Trust’s (Trust) appeal was upheld, resulting in a significant ruling regarding the presence of grazing animals on a farm in the North West Province. The Trust, as the owner of the property, had sought relief against the Mereki children, who were occupying the land and grazing livestock without explicit consent.

The unpacking of a Strategic Integrated Project
Speaking at the third Sustainable Infrastructure Development Symposium in Cape Town on 19 March 2024, President Cyril Ramaphosa stated that investment in infrastructure is central to the achievement of South Africa’s development goals. President Ramaphosa highlighted some initiatives which seek to address this, including the amendment of the Division of Revenue Act 5 of 2023 to enable provincial governments to use their infrastructure grants and budget allocations to crowd-in private sector finance for large social infrastructure programmes, as well as amendments to the public-private partnership regulations.
