Our team advised Sibanye in the ConCourt matter of Sibanye/M Bester
Cliffe Dekker Hofmeyr represented Sibanye, the largest individual producer of gold from South Africa and one of 10 largest gold producers globally.
Our employment team advised Sibanye in the Constitutional Court matter of Sibanye/M Bester. The case relates to an assessment of racism in the workplace and, more particularly, deals with the question of direct and indirect racism. This dispute is not about defamation or injuria, but rather it focuses on statements which are actually racist or perceived to be racist in the workplace and which have the potential of causing divisions between workers and disrupting workplace harmony. The matter emanates from the Labour Appeal Court and was referred to the Constitutional Court on appeal.

The environmental (and other) legislative transitions to a low-carbon economy in South Africa
South Africa is currently enjoying a much welcomed and extended reprieve from the effects of load shedding. While there is speculation that this is merely a politically motivated state of affairs, experts suggest that the increase in solar installations at household and business levels has resulted in a significant decrease in Eskom-generated energy demand, as 2,1GW of solar has been installed in the last 12 months. Furthermore, Ember Energy estimates that solar energy contributed 10,4% to South Africa’s electricity mix in February 2024. South Africa has committed to moving towards a low-carbon economy, and the recent expansion of renewable energy installations can be seen as a significant contribution towards this goal. The transition towards a low-carbon economy cannot be achieved without the reform of enablinglegislation.

Don’t throw cautionaries to the wind: Navigating communication about potential affected transactions
In the context of “ affected transactions ”, which are transactions that are regulated in terms of the Takeover Regulations (see section 117(1)(c) of the Companies Act 71 of 2008 (Companies Act)), it is well-established and understood that the publication of a “ firm intention announcement ” (FIA) in respect of an affected transaction is a watershed event. The publication of an FIA triggers the commencement of the “ offer period ” (firm offer period) in respect of an affected transaction. From this point, the applicable offeror is bound to make a firm offer to the offeree-regulated company or its shareholders, as applicable, and to see the affected transaction to completion on and subject to the salient terms and conditions set out in theFIA.
