Our team advised Sibanye in the ConCourt matter of Sibanye/M Bester
Cliffe Dekker Hofmeyr represented Sibanye, the largest individual producer of gold from South Africa and one of 10 largest gold producers globally.
Our employment team advised Sibanye in the Constitutional Court matter of Sibanye/M Bester. The case relates to an assessment of racism in the workplace and, more particularly, deals with the question of direct and indirect racism. This dispute is not about defamation or injuria, but rather it focuses on statements which are actually racist or perceived to be racist in the workplace and which have the potential of causing divisions between workers and disrupting workplace harmony. The matter emanates from the Labour Appeal Court and was referred to the Constitutional Court on appeal.

Does providing security to a lender amount to a disposal in terms of section 112 of the Companies Act?
In terms of section 112 of the Companies Act No. 71 of 2008 (Companies Act), the disposal of the whole or a greater part of a company’s assets or undertaking must be approved by a special resolution of that company’s shareholders. A question that arises in secured lending transactions is whether or not the enforcement of security provided as part of a funding transaction constitutes a disposal as contemplated in section 112 of the Companies Act.

Rising rates, rising resilience: Navigating the VAT rate increase
With another value-added tax (VAT) rate increase on the horizon, businesses are once again required to navigate both the legal complexities and the operational challenges that come with the change. In his Budget Speech on 12 March 2025, the Minister of Finance (Minister) announced a phased increase in the standard rate of VAT from 15% to 15,5%, set to take effect on 1 May 2025, and thereafter from 15,5% to 16%, effective from 1 April 2026. The upcoming increases build on the 2018 amendment that raised VAT from 14% to 15%.
