Our team advised Bank of China the issuance, of ZAR 350 million unsecured floating rate notes on the Interest Rate Market of the JSE
Cliffe Dekker Hofmeyr represented the Bank of China’s Johannesburg Branch.
Bank of China is one of the five largest state-owned commercial banks in the People's Republic of China. Our capital markets team advised this prestigious client in the issuance, in December 2017, of ZAR 350 million unsecured floating rate notes on the Interest Rate Market of the JSE. The issuance was made under the Bank of China’s ZAR 15 billion domestic medium term note programme.

Incapacity and misconduct: Distinct proceedings that must not be conflated
It is well established in South African labour law that incapacity proceedings are no-fault based, whereas misconduct proceedings are fault based. These processes entail different concepts and procedures, and an employer may not conflate the two. Where an employee's conduct arises from an inability to perform, the matter must be addressed through incapacity procedures; where it arises from transgression or misbehaviour, it falls within the realm ofmisconduct.

Enforceability of clawback clauses in employment contracts
On 19 August 2025, the Johannesburg High Court delivered judgment on the enforceability of a clawback clause. This is a contractual term that makes provision for a company to recover certain monies, bonuses or other incentives that were paid to an employee under specific circumstances. This should be distinguished from a malus clause which requires repayment of unearned benefits or remuneration or commissions if an employment relationship ends prematurely. Both clawback and malus clauses require a “ trigger event ” before they can beinvoked.
