Are there any filing requirements for a change of directors or a change in shareholding in Gambia?
A company in The Gambia is required to notify the Registrar of any appointment, change or removal in the particulars of a director. This is pursuant to section 264 of the Act, which says that a register must be kept of the particulars of all the directors at the company’s registered office e.g. name, address, nationality and other director positions held. The Registrar must be notified of any change in the directors within 14 days.
There are filing requirements for the transfer of shares under section 108 of the Act. It requires the company to deliver a return of the allotment to the Registrar with all the details of the allotment provided therein.
