Associate Designate

Shameegh Allen is an Associate Designate in our Corporate & Commercial practice. He holds an LLB degree (summa cum laude) from the University of the Western Cape, along with a BA and a BA honours degree.

Shameegh has unique expertise in the upstream oil and gas industry across multiple jurisdictions and has advised on numerous exploration projects of various nature, as well as complex commercial transactions in the upstream oil and gas industry.

Shameegh joined Cliffe Dekker Hofmeyr as a Candidate Attorney in 2018. Shameegh was appointed as an Associate Designate in our Corporate and Commercial practice in 2020 and specializes in the Oil and Gas law.

Shameegh  works closely with local and international oil companies, national oil companies (NOC’s), oilfield service providers and government regulatory authorities within the upstream petroleum sector. He also advised on the Kudu Gas to Power development project in Namibia.

Shameegh has assisted clients with oil and gas projects in various countries across Africa and provides commercial, regulatory and advisory legal services to the upstream oil and gas sectors. He has invaluable experience in negotiating commercial terms of Farm-out, Farm-in, Participation and Joint Operating Agreements.

Shameegh has assisted international and local oil and gas companies in preparing submissions to government on proposed legislative amendments to the upstream oil and gas industry in South Africa.

Shameegh has also assisted clients with, inter alia, due diligence investigations and preparing due diligence reports, applications for petroleum permits and rights, acquisition of participating interests in exploration rights and/or petroleum permits through Farm-Out and/or Farm-In Agreements, negotiating and preparing Joint Operating Agreements, Seismic Acquisition, Processing and Re-Processing Agreements and Multi-Client Data Sharing Agreements, Non-Disclosure Agreements, establishment of internal policies and procedure for Oil and Gas Procurement, and statutory and regulatory compliance.

Shameegh's experience includes:

  • Advising on the disposal of participating interests to super major and listed international oil and gas companies, included drafting and negotiating terms of Farm-Out Agreement with drilling cost carry, Escrow Agreements, Deeds of Assignment to Petroleum Agreement and JOA, Deed of Amendment to JOA, obtaining Ministerial consents and approvals, filing merger notices and obtaining Competition Commission approvals and drafting Completion Agreements.
  • Advising on the disposal of a majority participating interest share and transfer of operatorship to Total E&P South Africa B.V. and terms of the joint operating agreement.
  • Advising on the disposal of a majority participating interest share and transfer of operatorship in Offshore Block 3B4B exploration right to Azinam Ltd and terms of the joint operating agreement.
  • Advising on the acquisition of a majority participating interest share and transfer of operatorship in Offshore Block 2B by Azinam Ltd.
  • Provided regulatory administrative law and environmental law advice to Eni South Africa B.V.
  • Drafting and negotiating commercially accepted carry terms for the National Oil Company of Namibia across various petroleum exploration license, in Joint Operating Agreements and negotiating the commercial terms of the NOC carry with JV partners ranging from super major to major IOC's.
  • Preparing various successful applications in terms of the Minerals and Petroleum Resources Development Act, including applications for Technical Co-operation Permits, Exploration Rights, Renewal of Exploration Rights, Amendment to Exploration Rights and ministerial consent in terms of section 11 of the Minerals and Petroleum Resources Development Act.
