Rethinking staff outsourcing contracts from a tax perspective

On 30 August 2024, the Tax Appeals Tribunal (Tribunal) delivered a judgment in Appeal E433 of 2024 (judgment), in which it held that the reimbursement of staff costs made by a charitable foundation (Foundation) to a non-charitable but related company (Related Co) under a staff secondment arrangement was subject to withholding tax (WHT) since the costs amounted to management or professional fees. This marks a departure from its earlier decision in Two Lakes Packaging Services Limited v Commissioner of Domestic Taxes (Appeal Number 420 of 2021) (Two Lakes), in which the Tribunal held that WHT should not be deducted from recharges of staff salaries.

Summary of the POPIA case of Munetsi v Madhuyu and Another

The Western Cape High Court recently handed down a judgment that applied certain provisions of the Protection of Personal Information Act 4 of 2013 (POPIA). Mr Munetsi (the applicant), applied to the court seeking relief (a public apology) in light of Mr Madhuyu and another’s (respondents) publication on social media platforms of the applicant’s personal information which he alleged to be defamatory. The respondents published the applicant’s mobile number on Facebook, together with a video. The video prompted the respondents’ followers to contact the applicant, and thus resulted in a large volume of phone calls made to his number. The applicant claimed that such publication breached POPIA’s provisions (without any reference to a particular clause), as well as his right to privacy.

As the Johannesburg Stock Exchange (JSE) rolls out various proposed amendments to the JSE Listings Requirements (Listing Requirements), noticeably absent from the consolidated simplified Listings Requirements are Paragraph 3.84(j) and Schedule 14 to the Listing Requirements. Types of alternative dispute resolution

Alternative dispute resolution (ADR) methods have become the preferred mechanism to resolve commercial disputes. The traditional approach to dispute resolution used to be litigation. The popularity of alternative methods of dispute resolution can in part be attributed to the backlogs experienced by courts. This has also resulted in the incorporation of one of the alternative dispute resolution methods into the Uniform Rules of Court. The introduction of the new Rule 41A in March 2020 meant that an initiator of litigation proceedings was required to file a notice asking the other party whether they were amenable to mediation and the other party was required to respond with its own notice, but mediation was by agreement. Recently, the Gauteng Division of the High Court issued a directive introducing mandatory mediation in the Gauteng division and the accompanying protocol.
