Overview of the firm’s 2018 Pro Bono contribution

The Pro Bono & Human Rights Practice (the Pro Bono Practice) is proud to report that during what was a particularly successful and productive year, collectively Cliffe Dekker Hofmeyr (CDH) donated over 9,500 hours/in excess of R25 million in pro bono legal services to deserving individuals, organisations and causes during 2018. This is a truly impressive contribution of which the firm can be proud.

"The extent of this year’s contribution, I believe, shows that the impact and presence of the Pro Bono Practice is growing within the firm, and affirms the importance that CDH places not only on its pro bono obligations to assist indigent and vulnerable people to access justice, but on its moral and ethical obligations to use its considerable agency to further the promotion of constitutionalism, accountability and the rule of law. Thank you to my team here in Johannesburg and to Brigitta Mangale, our Cape Town representative, for all your commitment and hard work over the year. And a big thank you to all the other practitioners in other Practice areas who contributed valuable time and resources in assisting with pro bono instructions and in helping us roll out some of our special projects and training. Don’t count your chickens before they hatch: The Competition Commission’s inquiry into the poultry industry

On 6 February 2023, the Competition Commission (Commission) published its draft terms of reference for its inquiry into the poultry industry (ToR) established in terms of section 43B of the Competition Act 89 of 1998 (Competition Act). The Commission has indicated that there are market features within the poultry industry that are likely to impede or distort competition. The features include structural indicators, the outcomes in the industry and certain conduct along the value chain. It stated that taking steps to address these market features through a market inquiry could benefit industry competitiveness and consumers through the improvement incompetition.

P.O.V: Your partner ends the partnership but at least there’s no tax payable: BPR 391

At common law, a partnership is not considered to be a legal entity or persona with legal personality separate from its partners. Rather, a partnership has been defined as a legal relationship between two or more persons who carry on a lawful business or undertaking, to which each contributes either money or labour, or anything of value with the object of making a profit, and of sharing that profit between them. As such, all legal consequences flowing from a partnership accrue to the partners in their personal capacities. This is also the position under the Income Tax Act 58 of 1962 (Act). Therefore, any property of the partnership is co-owned by the partners in undivided shares. Each partner therefore has a proportionate interest in the partnership, and by acquiring an interest in the partnership, each partner acquires an undivided share in the assets of the partnership.
