Increase to South African merger filing fees

On 4 December 2018, the Minister of Economic Development, Ebrahim Patel, published the amendment to Rule 10(5) of the Rules for the conduct of proceedings in the Competition Commission.

In terms of the amendment, the merger filing fees have now increased from R150,000 to R165,000 for an intermediate merger and from R500,000 to R550,000 for a large merger. These new filing fees shall be effective from 1 January 2019.

The Social Health Insurance Act and its implications

In a Gazette Notice on 21 November 2023, the Cabinet Secretary for Health designated 22 November 2023 as the commencement date of the Social Health Insurance Act, 2023 (SHIA). Adjusting a definition

The circular reference error is a scourge that has plagued many tax practitioners’ spreadsheets since the amendment to section 20 of the Income Tax Act 58 of 1962 (ITA) at the end of 2021. This amended section 20 dictates that it can only be applied once all other sections of the ITA have been applied. However, a similar provision appears in the definition of “ adjusted taxable income ” in section 23M, the result being a conflict between the two sections and the question of which to apply first?

Employee vs Independent Contractor vs TES

The test for determining who is an employee and who is an independent contractor differs with reference to persons who earns above or below the threshold in terms of s6(3) of the Basic Conditions of Employment Act 75 of 1997 (BCEA). An independent contractor, unlike TES employees, is not an employee either of the client or the TES. Independent contractors render services for a fee, whereas a TES provides labour to a client for reward. Ultimately the test is always substance over form and the nature of the agreement is not definitive.
