CDH welcomes Werner de Waal to our Corporate and Commercial team

Cliffe Dekker Hofmeyr (CDH) has appointed Werner de Waal as a Director in its Corporate and Commercial practice in Cape Town.

CDH is thrilled to announce the expansion of our Corporate and Commercial practice with the appointment of Werner de Waal as a Director.

The Corporate and Commercial practice recently clinched top honours for M&A deal flow for the eighth consecutive year at the annual DealMakers Awards and is gearing up to take the lead on some of the largest and most complex mergers and acquisitions in 2017.

“Werner’s team brings deep expertise in the renewables sector and enhances our strong energy practice and Africa capability,” says David Thompson, Director and Regional Practice Head for Corporate and Commercial at CDH, Cape Town.

Werner has experience in M&A transactions, general corporate, commercial law, joint venture, partnership agreements and private equity. He regularly advises various developers and sponsors on wind, solar, biomass and biogas energy projects in the infrastructure space.

A sensible outcome: SARS’ ruling regarding special trusts

While the provisions in the Income Tax Act 58 of 1962 (ITA) that apply to ordinary trusts are often the subject of disputes in the Tax Court or of binding private rulings issued by the South African Revenue Service (SARS), the same cannot be said for special trusts. We briefly discussed the ITA’s dispensation applicable to special trusts in our Tax and Exchange Control Alert of 18 January 2019 and explained that it may apply in instances where a person is unable to look after their own affairs and where the special trust is then created for the benefit of such person.
