Primacy of control or financial benefit in identifying HDPs

Much has been said of the Competition Commission’s (Commission) stance that section 12A(3)(e) of the Competition Act 89 of 1998 (as amended) (Act) creates a positive obligation to promote a greater spread of ownership by historically disadvantaged persons (HDPs) or workers in every merger. On 5 August 2024, the Constitutional Court refused leave to appeal in the matter of Africa Online Operations (Mauritius) Ltd v Scanlon and Others 2024 4 BLLR 357 (LAC). Leave to appeal was dismissed for want of jurisdiction and with costs. That means that the judgment of the Labour Appeal Court (LAC) in that matterstands.
