Our team advised MCB in relation to the security release of certain secured petroleum assets that the borrower was selling to a third party.
We advised on the proposed release mechanism to ensure that the lender was paid from the purchase price whilst protecting its interests. We reviewed the security agreements and partial discharge of charge and attended to its perfection.
We had to think carefully about the mechanism for release of the security to ensure that the sale transaction could proceed to completion while ensuring that the lender was adequately protected. On 17 January 2024, the Supreme Court of Appeal (SCA) handed down an interesting judgment in Mhlontlo Local Municipality and Others v Ngcangula and Another (1154/2022) 2024 ZASCA 5 (17 January 2024) that, amongst other things, dealt with the concurrent jurisdiction of the Labour Court and the High Court to determine a matter related to a contract of employment, and clarified whether an erroneous payment made by an employer over a period becomes a term and condition of employment.

In last week’s Tax and Exchange Control Alert we discussed the Constitutional Court’s (CC) majority judgment in Arena Holdings (Pty) Ltd t/a Financial Mail and Others v South African Revenue Service and Others ZACC 13 which was handed down on 30 May 2023. This week we take a closer look at the minority judgment. The minority held that the High Court’s order to declare sections 35 and 46 of the Promotion of Access to Information Act 2 of 2000 (PAIA) and sections 67 and 69 the Tax Administration Act 28 of 2011 (TAA) unconstitutional to the extent that they preclude access to tax records by a person other than the taxpayer, evenwhere the requirements of, the “ public interest override ” are met, should not be confirmed.

The Supreme Court of Appeal (SCA), in the recent case of Allied Steelrode (Pty) Ltd v Dreyer and Another ZASCA 181, set aside an order of the Gauteng Division of the High Court, Johannesburg, after it had concluded that a loan agreement entered into between parties who shared a close bond and where no interest was levied against the borrower, was subject to the National Credit Act 34 of 2005 (NCA) and that a subsequent acknowledgement of debt (AOD) constituted a credit agreement under the NCA.
