CDH played a pivotal role in the deal, acting as lead adviser to the open access fibre provider, Vumatel, on a series of potential exit processes which culminated in the multi-billion Rand two phase sale to CIVH and merger approval for the transaction. The transaction process was extremely intricate given the regulatory complexities and the high level of interest in the premier asset in its sector (fibre to the home), resulting in an innovative structured sale. The merger raised complicated vertical and horizontal issues in a sector of key strategic importance to the South African economy.

In addition to claiming the prestigious title of DealMakers' Private Equity Deal of the Year 2018, this transaction also won The Banker's magazine's Deal of the Year award in the High Yield and Leveraged Finance category for Africa.

Over the past several years, we have seen more and more anti-foreign national rhetoric in the public domain, with even high-ranking government officials contributing to the narrative that foreign nationals are the cause of many of South Africa’s issues. This has resulted in a continuingly shrinking safe space for foreign nationals who intend on seeking refuge in the country. Given our current socio-political climate, this judgment comes at a critical time where the rights of vulnerable people must be protected, in line with our international and domestic obligations.

Cannabis has been a hot topic in the media and bold statements have been made by the Government regarding the economic potential that the cannabis sector can unlock in the country. President Cyril Ramaphosa has referred to the potential revenue that could be created in the sector on two separate occasions during his annual State of the Nation Address. It has also been highlighted that industrial hemp and cannabis will create a pathway to industrialisation by having a ripple effect through to various other sectors such as foreign investment, agriculture, employment and construction. Although the Government’s stated intention to relax and review policies that hinder the growth of the industry is appreciated, South Africa is at a crossroads when it comes to competing with international cannabis industries developed within a regulatory framework.

The soon to be ‘new’ preferential procurement framework

In addition to regulating public procurement generally, the long title to the Procurement Bill states that the Bill is meant to prescribe a framework within which preferential procurement must be implemented. Of course, this must be so, because the Constitution requires national legislation be enacted to provide for such a framework. It is important to note, however, that in as much as national legislation must prescribe a framework, the prerogative power to create and implement a preferential procurement policy within that framework remains with the individual organs of state and institutions. This was confirmed by the Constitutional Court, and is something that cannot be taken away from procuring entities by the Procurement Bill.
