Our finance and banking team is advised Harmony Gold in a US$200 million equity take out bridge loan facility, from a syndicate of banks. The facility will be utilised to fund part of the acquisition of the Moab Khotsong and Great Noligwa Mines from Anglo Gold Ashanti. Our team led work on a range of complex intercreditor issues and handled tough negotiations between the global and local syndicate lenders.

Cannabis has been a hot topic in the media and bold statements have been made by the Government regarding the economic potential that the cannabis sector can unlock in the country. President Cyril Ramaphosa has referred to the potential revenue that could be created in the sector on two separate occasions during his annual State of the Nation Address. It has also been highlighted that industrial hemp and cannabis will create a pathway to industrialisation by having a ripple effect through to various other sectors such as foreign investment, agriculture, employment and construction. Although the Government’s stated intention to relax and review policies that hinder the growth of the industry is appreciated, South Africa is at a crossroads when it comes to competing with international cannabis industries developed within a regulatory framework.

Securities lending arrangements: The VAT implications
The South African Revenue Service (SARS) published Binding General Ruling 62 (BGR 62) on 12 December 2022, in which it sets out its interpretation and application of the Value-Added Tax Act 89 of 1991 (VAT Act) for the lender in terms of a securities lending arrangement. BGR 62 comes into effect on 1 April 2023. The value added tax (VAT) implications of a securities lending fee as set out in BGR 62 are contrary to the VAT implications as previously set out in Practice Note 5/1999, which will be withdrawn from 1 April 2023. It is, however, arguable as to whether the interpretation and application of the VAT Act as set out in BGR 62 are correct.
