- Our team is advising Puma Energy Tanzania, a subsidiary of Puma Energy, the leading Switzerland-based global mid- and downstream oil company. Our South Africa-based projects & energy team is advising Puma Energy Tanzania on a matter relating to an agreement between Puma Energy and the Petroleum Bulk Procurement Agency of Tanzania (the Agency), which concluded an importation contract in compliance with Petroleum (Bulk Procurement) Regulations 2017 GN No. 198 of 2017 (Petroleum Regulations) and the Petroleum Act, 21 of 2015 (Petroleum Act) to import petroleum products into Tanzania. The terms and conditions of the importation contract required that Puma Energy obtain a letter of credit (LC) for the benefit of Alchemist as payment for a consignment of petroleum products ordered by the Agency from Alchemist Energy Trading, the leading UAE-based trader, in terms of a shipping and supply contract. This contract was concluded pursuant to a competitive public tendering process for the bulk supply of petroleum products to the Agency and on behalf of oil marketing companies such as Puma Energy in compliance with the Petroleum Regulations and Petroleum Act
- Cliffe Dekker Hofmeyr is representing Puma Energy, the leading Switzerland-based global mid- and downstream oil company. Our South Africa-based dispute resolution team acted for Puma Energy Tanzania in a high court application in Johannesburg, successfully obtaining an order interdicting Standard Bank from releasing payment under the Letter of Credit (LC) issued by the Bank at Puma Energy’s request in favour of Alchemist Energy Trading, a UAE-based trader, pending the final resolution of legal proceedings by arbitration between the Petroleum Bulk Procurement Agency of Tanzania (the Agency) and Alchemist and/or Puma Energy. The matter related to an agreement between Puma Energy and the Agency concluded an Importation Contract (IC) in compliance with Petroleum Bulk Procurement Regulations 2017 GN No. 198 of 2017 (petroleum regulations) and the Petroleum Act, 21 of 2015 (Petroleum Act) to import petroleum products into Tanzania.
- Advisor to an Australian based IOC on the sale and transfer of a participating interest in a gas exploration project in Tanzania, scope of work including review of PSA and obtaining TPDC approvals, the drafting and negotiation of a Participation Agreement and Joint Operating Agreements pursuant to an AMI Agreement. including an isolation valve and temporary pigging capability and cross-border export pipelines.
- Legal Advisor on the Kudu Gas Field Development Project advising on the dilution of interest by the NOC as well as the Project Development Agreement, the subsea EPIC Agreement and FPS Agreement as well as the Gas Sales and Transportation Agreements. The project scope entailed a Floating Production System (FPS) with gas processing facilities. The facilities comprised of subsea in-field flowlines with piggy-backed DEH system, dynamics risers, XTs, subsea controls, umbilical's, isolation valve skid, as well as the onshore reception facilities,
- CDH assisted Sturrock Shipping (Pty) Ltd to establish joint venture in Tanzania.
- We were involved in the acquisition of TBH Media by Dentsu Aegis Network (Uganda and Tanzania).
- Our team assisted with Association Agreements entered into with local media business partners for Dentsu Aegis Network (Kenya, Uganda, Tanzania Nigeria, Ghana, Benin, Malawi and Madagascar).
