- Cliffe Dekker Hofmeyr (Kenya) represented Creadev International, the leading France-based private equity firm; and ARAF, a Kenya-based venture capital fund designed to enhance the livelihood and climate resilience of people in Africa. Our Kenya-based corporate/M&A team advised Creadev International and ARAF on their investment in Victory Farms, East Africa's fastest growing aquaculture venture. Creadev International led the US$35 million Series B raise and was joined by ARAF, DOB Equity, Endeavour Catalyst Fund and Hesabu Capital. The East Africa fish supply deficit is estimated at circa 1 million metric tons per annum. Aquaculture supplies only meet three per cent of this deficit. This transaction is particularly significant as it will enable Victory Farms to expand its operations in Kenya, Rwanda, Ethiopia, Uganda and Tanzania, and provide a solution to East Africa's nutritional security challenge.
- Cliffe Dekker Hofmeyr is advising Puma Energy Tanzania, a subsidiary of Puma Energy, the leading Switzerland-based global mid- and downstream oil company. Our South Africa-based projects & energy team is advising on a matter relating to an agreement between Puma Energy and the Petroleum Bulk Procurement Agency of Tanzania (the Agency), which concluded an importation contract in compliance with Petroleum (Bulk Procurement) Regulations 2017 GN No. 198 of 2017 (Petroleum Regulations) and the Petroleum Act, 21 of 2015 (Petroleum Act) to import petroleum products into Tanzania.
- Kieti Law (CDH) is representing one of the leading grain handling and logistics companies in East and Central Africa. Our Kenya-based intellectual property team is advising this client, which operates a specialised dry bulk discharge and handling terminal for grain imports, in relation to its intended rebranding exercise in May 2023. The client's rebranding is a precursor to its intended multi-jurisdictional expansion beyond Kenya and Uganda into Djibouti, Mozambique, Democratic Republic of Congo and Tanzania. As part of our mandate, we offered rebranding advice and assisted in trade mark clearances, filings, prosecution, defence and portfolio maintenance briefs. This is exactly the kind of high-profile cross-border mandate for the intellectual property aspects of which clients regularly turn to highly-skilled counsel.
- Cliffe Dekker Hofmeyr represented Vodacom, the leading South Africa-based mobile communications company; and Vodacom Tanzania, the leading Tanzania-based telecoms company listed on the Dar es Salaam Stock Exchange, and a subsidiary of Vodacom Group. Our South Africa-based commercial, corporate/M&A team advised Vodacom on the transfer of all of its passive tower telecommunications equipment and associated land use rights to its wholly-owned subsidiary, Vodacom Tower Company (TowerCo), for further shares in TowerCo. This involved a comprehensive legal due diligence process to ascertain Vodacom's right to transfer the assets; extensive opinions relating to the regulatory environment; and advice on the transfer process itself. We reviewed 25,000-plus right of access agreements in relation to issues such as assignment and the co-location rights of other mobile network operators. The assets were transferred by way of a disposal agreement, and scheduled to occur in tranches, subject to various consents from underlying landlords.
