  • Cliffe Dekker Hofmeyr is advising Puma Energy Tanzania, a subsidiary of Puma Energy, the leading Switzerland-based global mid- and downstream oil company.  Our South Africa-based projects & energy team is advising on a matter relating to an agreement between Puma Energy and the Petroleum Bulk Procurement Agency of Tanzania (the Agency), which concluded an importation contract to import petroleum products into Tanzania.  
  • Cliffe Dekker Hofmeyr represented Vodacom, a leading South Africa-based mobile communications company; and Vodacom Tanzania, a leading Tanzania-based telecoms company listed on the Dar es Salaam Stock Exchange, a subsidiary of Vodacom Group.  Our South Africa-based commercial, corporate/M&A team advised Vodacom and Vodacom Tanzania on Vodacom Tanzania’s acquisition of 100 per cent of the issued share capital of Smile Communications Tanzania, from Smile Telecoms Holdings and Smile Telecoms IP. We are also advising on regulatory compliance for the acquisition’s structure, with respect to various Tanzanian regulatory permissions.  The structure involved extensive downside protection against unknown liabilities; unusual positive obligations; and rights to terminate during the interim period. We worked across the table from a Band One-ranked firm here.
