Senior Associate

Zipho Tile is a Senior Associate in our Banking, Finance & Projects practice. Zipho specialises in the debt financing aspects of project finance and project development. He has advised on the South African Government's Renewable Energy Independent Power Producers (REIPP) Procurement Programme, the Risk Mitigation IPP Procurement Programme, private power projects and various infrastructure projects. He has experience in conducting commercial due diligence investigations.

Zipho joined CDH as an Associate in 2023. He was promoted to Senior Associate in April 2025.

  • IREREP legal advisor in respect of drafting and negotiating a Public-Private Partnership agreement in relation to the development and financing of renewable energy projects as part of its Integrated Resource Efficiency and Renewable Programme.
  • IREREF in respect to providing non-recourse loan facilities in relation to the development and financing of renewable energy projects.
  • Development Bank of Southern Africa Limited in relation to the provision of USD 100 million facility to the East Africa Development Bank for the purposes of on landing infrastructure projects across its member states, being Kenya, Uganda, and Mozambique.
  • The Lenders (consisting of local commercial banks and local and international development finance institutions) in respect of the Xina Solar concentrated solar generation project in the Northern Cape Province, which was awarded preferred bidder status in round 3 of the REIPPPP.
  • Nedbank Limited, financial documents due diligence investigation in relation to Pele Energy Group's renewable energy projects.
  • Mulilo Group conducting a due diligence in relation to renewable energy projects in South Africa in relation to a proposed acquisition and change in control.
  • Exxaro Coal Limited in relation to providing a Power Purpose Agreement and other ancillary project documents.
  • Acting for a syndicate of Lenders in relation to the renewal and replacement of a debt service reserve facility of R522 000 000 in respect of the Kathu Solar Park (RF) Proprietary Limited concentrated solar power project, which forms part of South Africa's Renewable Energy Programme.
  • Acting for the Lenders in relation to a change in control of the shareholders of the 75MW Mulilo Sonnedix Prieska PV (RF) Proprietary Limited project facility. Drafting of Lender transaction documents and consequent security release and replacement documents.
  • Lephalale Solar Plant (63 MW), providing project development advice to Exxaro Coal Mining (off-taker) in relation to drafting and negotiating a PPA and Direct Agreements.    
  • Photon Energy Group providing advice, drafting, and negotiating Power Purchase Agreements in relation to several rooftop solar facilities.
  • The Lenders in relation to drafting of Lender transaction documents and consequent security release and replacement in relation to a change in the shareholding of Kathu Solar Park (RF) Proprietary Limited a concentrated solar project facility; 
  • Seacom Ltd in relation to a 90 million USD-denominated loan facility for the purpose of funding working capital and capital expansion.
  • Absa Bank Ltd as original lender and issuing bank in connection with financing ARCH Africa Renewable Power Fund LP.
  • Enel Green Power S.P.A. in connection with a sale of Round 2 and the Round 3 Projects, due diligence investigations.
  • Convergence CTSA Proprietary Limited in relation to the debt financing and preference share funding transaction with Standard Bank of South Africa.
  • Altron Finance (Pty) Ltd, in respect of (i) certain amendments to their CTA and (ii) the procurement/reallocation of additional ancillary facilities from Nedbank Ltd and FirstRand Bank Ltd (acting through RMB Corporate Banking).
  • Top ranked Private Equity Firm in relation to provision of financing for the purpose of acquiring shares in a solar generation project. 
  • Hesto Harnesses (Pty) Ltd (as Borrower) in connection with the provision of certain facilities made available by The Standard Bank of South Africa Ltd, acting through its Corporate and Investment banking division (as Original Lender).
