• Acting for a leading private equity fund in relation to a USD 47.5 Million mezzanine funding to Centum’s Two Rivers International Finance & Innovation Centre.

• Acting for a leading Kenyan retailer in connection with the acquisition of a minority stake in the said Kenyan retailer by a French private equity fund.

• Acting for the abovementioned leading Kenyan retailer and the French private equity fund in selling the private equity fund’s stake in the leading retailer to another private equity fund.

• Acting for a leading multinational firm in the sale of their Kenyan-based flower farm to another leading multinational firm in the floriculture business.

• Acting for a leading public listed company to issue a corporate bond in the Domestic Medium-Term Note (MTN) Programme.

• Carrying out legal due diligence and preparing a red flag due diligence report in respect of NIC Bank PLC for Commercial Bank of Africa Limited in relation to the transaction for the merger of NIC Bank PLC and Commercial Bank of Africa Limited to form NCBA Bank Kenya PLC.

• Advising various international clients in connection with their setting up of businesses in Kenya and procuring the relevant regulatory licences and permits to operate in Kenya.

• Provision of general legal advice and support on general corporate and commercial matters.

• On the establishment of entities (both for profit and not for profit entities) in Kenya and subsequent support for clients in different sectors including the telecommunications sectors, banking sectors as well as charitable entities looking to set up in Kenya.

• Various clients in other high-profile Kenyan and international merger transactions, joint venture transactions and private equity transactions.

• Private clients including estate planning.

• Rhino Range Expansion Kenya (RREK) sought to register an entity that would foster collaboration between the Kenya Wildlife Service (KWS) and private landowners and community land owners for purposes of conservation of Kenya’s black rhinos. We advised RREK in relation to: (i) the options available for the registration; (ii) the tax, financial, employment, reporting, and compliance obligations of each option; and (iii) the possibility and requirements of obtaining tax exemptions. We then proceeded to provide our legal services in relation to the actual setting up of the entity as a company limited by guarantee and drafting requisite Agreements and legal documents to be entered into between RREK and counterparties.

• Africa Public Health Laboratories in relation to setting up of their Kenyan Non-Governmental Organisation. We provided our legal advice in relation to the options available for registration and provided subsequent support in the actual setting up as a Non-Governmental Organisation.

• Stanbic Kenya Foundation Limited in relation to: (i) the options available for the registration; (ii) the tax, financial, employment, reporting, and compliance obligations of each option; and (iii) the possibility and requirements of obtaining tax exemptions. We then proceeded to provide our legal services in relation to the actual setting up of the entity as a company limited by guarantee.

• Various not-for profit entities on: (i) the options available for the registration; (ii) the tax, financial, employment, reporting, and compliance obligations of each option; and (iii) the possibility and requirements of obtaining tax exemptions. We then proceeded to provide our legal services in relation to the actual setting up of the appropriate not-for-profit entity in Kenya followed by providing our support on post-registration formalities.

• Various international Non-Governmental Organisations in relation to setting up of their Kenyan Non-Governmental Organisation. We provided our legal advice in relation to the options available for registration and provided subsequent support in the actual setting up as a Non-Governmental Organisation.
