CDH's Corporate and Commercial team acted as South African legal adviser to Life Healthcare Group Holdings Limited in regard to the disposal by its UK subsidiary of its interests in Life Molecular Imaging Limited to Lantheus Radiopharmaceuticals UK Limited for a purchase consideration of approximately R13,9bn. All the conditions precedent to the transaction were fulfilled and the transaction was implemented in July 2025.

Court confirms right to revoke authority, even in long-term deals

On 2 May 2025, the High Court (Eastern Cape Division, Gqeberha) delivered judgment in two urgent, interrelated applications brought by applicant Stargrow Fruit Marketing (Pty) Ltd (SFM) against respondents Gamtoosvalley Farming (Pty) Ltd t/a Entabeni (Entabeni) and New Day Packaging (Pty) Ltd (New Day Packing). SFM sought orders for specific performance and enforcement of marketing agreements relating to the 2025 citrus harvest and beyond. The court dismissed both applications, finding that no enforceable new agreements had been concluded and that the respondents lawfully revoked SFM’s authority as marketingagent.

As a way to combat the decades-old issue of fraudulent identity documents being in circulation in South Africa, Tommy Livhuwhani Makhode, the Director-General of the Department of Home Affairs (DHA) published the following notice in the Government Gazette: “Notice in terms of Section 3 of the Promotion of Administrative Justice Act: Intention to cancel identity documents or cards of persons whose identity numbers are blocked and call representations from affected persons (GG) 5135 (16/08/2024)” on 16 August 2024 .

The recent decision of the Labour Court in Boomerang Fruits (Pty) Ltd v uMkhonto weSizwe (MKP) and Others JDR2025-061014 (LC) provides timely clarification on the legal thresholds for interdicting unprotected strikes and the limits of third-party involvement, particularly by political parties, in industrial disputes. The judgment reaffirms the legal materiality of procedural norms under the Labour Relations Act 66 of 1995 (LRA), as amended, and outlines the risks for entities that engage in conduct akin to that of a trade union without being recognised as such.
