Creditors vs practitioners: When business rescue turns into a battle royale
Over the last few years, business rescue has become a popular tool for businesses to use to get some breathing room from their creditors in instances where the business is financially distressed. Two main role players in the business rescue process are creditors and the business rescue practitioner. Creditors, based on their voting interest, have the right to vote for or against a business rescue plan. The practitioner has an obligation to act in the best interest of all stakeholders, including creditors and the company in business rescue. The case of Reiscor Two (Pty) Ltd ta Bootleggers v Anheuser-Busch Inbev Africa (Pty) Ltd and Others dealt with an instance where the creditors voted against the business rescue plan (plan) and the business rescue practitioner (practitioner) was of the view that the vote was inappropriate in thecircumstances.

Some commentators suggest that the case in Padayachee v Serere and Others (JR1162/21) ZALCJHB 254 (20 June 2024) is authority for the view that you may do so provided certain facts are present. The message from us: ISSUE THE SECTION 189(3) WRITTEN NOTICE BEFORE EMBARKING ON A RETRENCHMENT PROCESS. This is the cautious approach.

Fair wear and tear is a tenant’s shield, not a landlord’s loophole
It is neither reasonable nor realistic to expect leased premises to remain in their original, untouched state. Buildings age, materials wear and time inevitably leaves its mark. Recognising this reality, the principle of “ fair wear and tear ” plays a pivotal role in creating a balance in landlord-tenant relations.
