PSG - shortlisted for the DealMakers Brunswick Deal of the Year 2022
CDH is working with the PSG Group on a complex deal, valued at over R20 billion, that incorporates M&A, capital markets and restructuring.
Our team is advising PSG on the restructuring of the group, which includes the unbundling of all PSG Group's shares in PSG Konsult, Kaap Agri, Curro, Stadio and CA Sales, which are all listed on the Johannesburg Stock Exchange. This restructuring falls under the Companies Act 71 of 2008 because, ahead of its delisting, the PSG Group is disposing of the majority of its assets and repurchasing shares from the majority of shareholders in terms of a scheme of arrangement.

Importantly, the benefit does not form part of the deceased member’s estate and is not subject to deceased estate processes. The trustees of the fund are responsible for allocating the death benefit under section 37C of the Pension Funds Act 24 of 1956 (Act).

With no positive action to counteract or reduce the amount of greenhouse gas emissions, climate change extremities will worsen. As such, there is an urgent need to reduce greenhouse gas emissions and combat climate change globally.
