UIF and the Land & Agricultural Development Bank of SA
Cliffe Dekker Hofmeyr represented Unemployment Insurance Fund (UIF), a fund provided by the South African Government for short term unemployment; and Land Bank, the specialist agricultural bank guided by a Government mandate to provide financial services to the commercial farming sector and to agri-business.
Our Real Estate team advised these clients in the registration of various mortgage bonds and notarial general and special bonds. This mandate confirms the big-ticket nature of many of the real estate mandates handled by our experienced team as well as the trust placed in our team by public sector entities active in the real estate sector in South Africa.

Arbitration: Careful drafting applies as much to the arbitration agreement as to the pleadings
An agreement to arbitrate a specific issue will generally describe both the issue the arbitrator is required to decide and the arbitrator’s powers. The arbitrator has no power beyond the agreed terms of reference. The parties will then usually set out their respective claims or defences in documents referred to as pleadings. Unless the terms of reference are broad, for example allowing the arbitrator to decide whatever issues arise from the pleadings, the arbitrator may be restricted by what is in the terms of reference. Even if the terms of reference are broadly to deal with any dispute that arises on the pleadings, anything not “ on the papers ” would seem to be excluded.

Virtual wheeling agreements: A new frontier in renewable energy supply solutions
It is trite that the amendment of the Electricity Regulation Act 4 of 2006 (ERA) in August 2021 was the first fundamental step to “ unlocking ” the private electricity generation and procurement market in South Africa. In addition to dispensing with the need for a license for projects with a generation capacity below 100MW (this threshold has since been deleted in its entirety), Schedule II of the ERA was amended to allow for the wheeling of electricity to multiple customers.

Keeping it clean: Using a clean team to unlock M&A transactions and manage competitively sensitive information
The evaluation of a potential merger or acquisition typically necessitates the sharing of confidential information, usually via a formal due diligence investigation. Naturally, the due diligence investigation is usually undertaken at the outset of the process to allow the potential bidder (or both parties, as applicable) to assess the suitability of the transaction and to inform negotiations.

Revised critical skills list
The Immigration Act 13 of 2002 empowers the Director-General of the Department of Home Affairs to issue a critical skills visa to an individual who is in possession of “ such skills or qualifications determined to be critical for the Republic from time to time ”, subject to meeting all the other requirements for the issuing of the visa. The skills and qualifications determined to be critical are published in a critical skills list issued by the Minister of the Department of Home Affairs (Minister) from time to time. A critical skills visa is issued based on compliance with the critical skills list and allows the holder to work in South Africa within a specific occupation listed on the critical skills list.

What constitutes “special circumstances” in an application to the Supreme Court of Appeal, for special leave to appeal
Section 17(3) read with section 16(1)(b) of the Superior Courts Act 10 of 2013 provides for an application for special leave to appeal to the Supreme Court of Appeal (SCA). According to the SCA, special circumstances may arise if the appeal deals with a substantial point of law, or the matter is of great importance to the parties or the public, or where the prospects of success on appeal are so strong that the refusal to grant leave to appeal would result in a denial of justice for the party seeking leave to appeal.

What is the status of parental leave?
The parental leave provisions of the Basic Conditions of Employment Act 75 of 1997 were declared invalid because of inconsistency with the Constitution. The declaration of invalidity is suspended for two years to allow Parliament to remedy the defect. The Court has provided interim relief by amending the legislation to provide all parents 4 consecutive months' parental leave collectively. However, the Constitutional Court has to make the final decision on whether the order of invalidity is confirmed before it has any force. Watch our webinar discussion on the impact of this judgment and the way forward.
