Naasha Loopoo is a Senior Associate in our Competition Law Practice. Naasha's experience includes providing merger notifiability advice in various African and international jurisdictions, preparing statutory merger notifications (standalone and multi-jurisdictional), representing merging parties in contested hearings and representing clients in complaint proceedings before the competition authorities, advising clients on prohibited practices (including cartel conduct, restrictive vertical practices and abuse of dominance), conducting competition law audit reviews and developing competitionlaw protocols for clients across various industries. Prior to joining the firm, Naasha spent 3 years at the Enforcement and Exemptions Division of the Competition Commission of South Africa where she investigated over 100 prohibited practices complaints relating to cartel conduct, vertical restrictive practices and abuse of dominance.

Naasha began her career as a Candidate Attorney at Glyn Marais in 2009.  In 2011, Naasha joined AECI Limited as a Legal Advisor  and in the same year, she joined the Competition Commission of South Africa in the Enforcement and Exemptions Division as an Analyst. In 2014, she joined Cliffe Dekker Hofmeyr’s Competition team as an Associate.  She was promoted to Senior Associate in 2017.

Her experience encompasses the following: 

  • Advising on all aspects of prohibited practices, including cartel conduct, vertical restrictive practices and abuse of dominance complaints.  She assisted Uniplate Group Proprietary Limited in successfully defending an abuse of dominance complaint referral before the Competition Tribunal and the Competition Appeal Court.
  • Preparing and submitting merger notifications to the Competition Commission of South Africa as well as to other domestic and regional regulators in Sub-Saharan Africa across a multitude of industries.  A selection of Naasha's experience in this area includes:
    • She assisted in preparing the merger notification in the platinum mining industry on behalf of Lonmin Plc in the large merger involving the acquisition by Sibanye Gold t/a Sibanye-Stillwater of Lonmin Plc.   She also assisted in preparing for the contested merger hearing before the Competition Tribunal and the Competition Appeal Court.
    • She advised merging parties Lebashe Investment Group Proprietary Limited and Tiso Blackstar Group SE in drafting and submitting the joint merger notification to the South African competition authorities. In addition, she also advised on the notifiability of the transaction in Kenya and engaged with the Competition Authority of Kenya.
    • She assisted in advising Investec Bank on the disposal of its private equity portfolio to a special purpose vehicle, Investec Equity Partners (IEP) and assisted in advising the IEP group on a series of integrated transactions with Khulasande Capital, shareholders and management of each of the Goscor group of companies, Concord Cranes, Prowalco, Uni-Span Holdings and Afrit to create industrial services holding group, InServe. In particular, she advised on drafting and submitting  joint merger notifications to various competition authorities in Africa.
    • She has advised a number of private equity firms in preparing and submitting of merger notifications to competition authorities in South Africa across various industries such as Metier, Capitalworks, Zico Capital and Kagiso Tiso Holdings Proprietary Limited.
    • She has assisted  clients to queries relating to market inquiries conducted by the Competition Commission, in particular the LPG market inquiry and the grocery retail market inquiry.
    • She has reviewed and drafted competition compliance policies and guidelines for local and international trade associations in various industries such as the petroleum industry, the chrome industry, the electronics industry and the packaging industry.
  • The Legal 500 EMEA 2020 recommended Naasha as a rising star for competition.
