Senior Associate

Darryl Jago is a Senior Associate in our Corporate & Commercial practice. Darryl is a corporate and commercial lawyer with notable local and international experience.  Darryl focuses primarily on private M&A and has a strong interest in cross-border transactions, private equity, group reorganisations and corporate governance.

Darryl has acted for national and international clients in both the public and private sector, and across a range of industries including aviation, energy, fast moving consumer goods, mining, and tech start-ups.

Darryl started his career as a legal advisor for a global energy company. During this time, he gained an in-depth understanding of the way in which multinational businesses operate and the complex relationship between the strict application of legal principles and the implementation of broader corporate strategy. 

After 2 years in the corporate environment, Darryl moved into private practice at an international law firm based in Johannesburg where he gained extensive experience in advising local and international clients on private M&A transactions in Africa.  Darryl oversaw client relationships across a broad spectrum of industries, won the Associate Achiever Award in 2017 for the best all-round performing associate and the Associate Spokesperson of the Year in 2018 for his insights on legal issues in the media. 

In 2018, Darryl was awarded Attorney of the Year (Associate) at the African Legal Awards. 

Darryl moved to Australia in early 2019 to take up a position at an international law firm based in Melbourne, Victoria.  During his time in overseas, Darryl gained an in-depth understanding of Australia’s foreign investment regime, worked on an assortment of large private M&A and private equity transactions in the Asia Pacific region and won the firm’s global FY20 Transaction Innovation Group Associate Award. 

Darryl returned to South Africa in 2021 to take up a role as a Senior Associate in the firm’s Corporate and Commercial practice.

Darryl’s corporate and commercial work traverses a variety of industries with noteworthy matters including:

  • Acted for a Singapore-based financial services group and management shareholders in the staged sell down of their respective shareholdings in, and simultaneous capital raising for, an Australian multi-day ocean cruise business.
  • Acting for foreign government investors in procuring Australian Foreign Investment Review Board approval for direct and indirect acquisitions of Australian entities, and acquisitions of interests in Australian land.
  • Acting for a Fortune 500 agricultural cooperative in its acquisition of a controlling interest in a Kenyan-based animal feeds business.
  • Acting for an Australian mining company in the staged investment by a UK-based private equity fund in a mineral sands mining project and pre-completion reorganisation of its operating business.
  • Acting for a French energy company in its acquisition of two heating, ventilation, and air-conditioning companies with cross shareholdings.
  • Acting for a global pharmaceutical company in the reorganisation of its Australian and New Zealand consumer healthcare businesses.
  • Acting for a multi-national risk management, insurance brokerage and advisory firm in its acquisition of an Australian insurance brokerage company with operations in the highly regulated financial sectors of Australia, Hong Kong, and South Africa.
  • Acting for a junior coal mining company in the tax-neutral reorganisation of the company group, comprising 35 companies, by way of a series of share-for-share and unbundling transactions, and subsequent refinancing of the entire group.
  • Acting for an Australian mining company in a back-to-back selective capital reduction in its operating subsidiary and subsequent liquidity offer in the holding company.
  • Acting for a Fortune 500 agricultural cooperative in its acquisition of a majority interest in an agri-chemical company and subsequent buyout of key management shareholders.
  • Acting for a global food company in its acquisition of two Australian food distribution companies with complex cross-shareholdings.
  • Acting for a South African conglomerate in its acquisition of two medical supply companies and post-closing reorganisation of its surgical and medical business units.
  • Acting for a ready-made meal company in anticipation of its initial public offering on the ASX.
  • Acting for a global commercial aviation group in restructuring its South African group and negotiated exit of adversarial shareholders.
  • Acting for a South African private equity investor in the reorganisation a premium restaurant group and subsequent refinancing of existing debt facilities.
  • Acting for a South African technology company in negotiating the terms of a joint venture agreement with a South American based private equity fund for the territories of China, Hong Kong, Macau, Taiwan, Singapore, and Indonesia.
  • Acting for a global food company in a diverse array of commercial matters across the highly regulated Australian food industry including pre-packaged food and condiment distribution agreements, dairy supply agreements and fruit grower agreements.
  • Acting for a family office in the renegotiation of its exclusive distribution agreement with a Swiss-based fragrance compound supplier for the eastern and southern Africa territory.
  • Acted for the founders of several start-up businesses in the broad range of matters including corporate structure advice, early-stage equity capital raising, employee share ownership schemes and corporate advisory.
