Brian Jennings has been practising since 2011 in the Corporate Commercial department at a large South African law firm.  Since 2015, Brian has been practising as a Director in that department. Brian joined CDH in 2021.

Brian has advised on the following:

  • Advised the business rescue practitioners on the disposal during 2020 of JET and Edgars divisions across South Africa, Namibia, Botswana, eSwatini and Lesotho to Foschini and Retailability respectively.
  • Advised certain banks in relation to their interests in the sale of Choppies SA.
  • Advised Imperial on the closure of its Consumer Packaged Division during 2019/2020, including the sale of its in store packing division to CPG In Store and the sale of its cold chain logistics division to RCL Foods
  • Advised Imperial during 2020 on the sale of its majority shareholding in Pharmed, to Arrie Nel Pharmacies
  • Advised Harmony on its equity capital raise during 2020 of USD200 million.
  • Advised Edcon on its subsequent operational restructure during 2019 and the establishment of a major umbrella landlords agreement affording it reduced rental across the entirety of its rental portfolio.
  • Advised Edcon on the disposal of Edgars Active to Footgear during 2019.
  • Advised eXtract group on its restructure and disposal of various businesses, including the disposal of its operations at the Tharisa Mine to Tharisa
  • Advised Edcon on the disposal of its majority interest in Celrose to the IDC during 2019.
  • Advised DAWN on its delisting from the Main Board of the JSE during 2018.
  • Advised Capitalworks on its disposal of its stake during 2017 in Much Asphalt to AECI for a total purchase consideration of R2,272 billion.
  • Advised Edcon on its major financial restructuring during 2016.
  • Advised Telkom on its acquisition of 100% of the shares of Business Connexion as well as the management incentive and retention arrangements.
  • Advised certain banks in the restructure and resultant sale of Trade Centre during 2012.
  • Advised the Vunani group during 2011 on the listing of VPIF the Main Board of the JSE.
