Michelle Arbuckle is a Senior Associate in our Corporate and Commercial practice.

Her practice experience includes drafting, negotiating and advising on commercial agreements, assisting with general transactional work, mergers and acquisitions, corporate structuring, legal compliance and advice on various aspects of commercial law.

Michelle has a particular interest in assisting clients with corporate and commercial law related aspects arising from merger and acquisition related transactions.

Michelle began her career as a Candidate Attorney at Eversheds. In 2016, she was admitted as an Attorney of the High Court of South Africa and promoted to Associate. Michelle was appointed as an Associate at Cliffe Dekker Hofmeyr in December 2016. Michelle was promoted to Senior Associate in 2019.

  • Legal research and opinions: researching and providing opinions on various aspects of South African law.
  • Due diligences: conducting due diligence investigations, drafting due diligence questionnaires, reviewing commercial agreements and target company documentation and preparing due diligence reports.
  • Formation and administration of companies (related and unrelated to mergers and acquisitions): drafting and advising on memoranda of incorporation and shareholders’ agreements, company resolutions and assisting with general company secretarial work.
  • Mergers and acquisitions and corporate structuring: drafting, negotiating and advising on transaction documents, share purchases and sales and sales of business, joint ventures and structuring of corporate entities.
  • Commercial agreements: drafting, negotiating and advising on confidentiality and non-disclosure agreements, security documents, service level agreements, supply agreements, executive services and employment agreements, commercial and residential lease agreements, property co-ownership agreements and agreements of sale of immovable property.
