JD van der Merwe


JD is an Associate in our Real Estate practice. He has experience in assisting private and listed clients, both South African and foreign, in development, acquisition and occupation/leasing of residential, retail and commercial property, mergers and acquisitions, and general commercial transactions.

JD has experience in liaising with regulatory, public and / or governmental bodies in relation to the fields he has worked in and has had numerous interactions with various such bodies, including the City of Johannesburg Metropolitan Council, Department of Mineral Resources, Johannesburg Roads Agency, Department of Home Affairs, and various magistrates and high courts.

JD joined Cliffe Dekker Hofmeyr as a Candidate Attorney in 2017, and during his articles of clerkship he gained exposure to the following legal fields: conveyancing, corporate and commercial law with a focus on real estate transactions, employment, occupational health and safety, immigration, and commercial litigation and arbitration within the mining, energy, petroleum and gambling spheres. JD was promoted to Associate in 2019 and on 25 April 2019 became the first attorney at CDH to be admitted as a legal practitioner under the Legal Practice Act 28 of 2014.

  • Drafting and reviewing of various documents, resolutions and agreements relating to / including -
  • advisory opinions on various issues including but not limited to moveable and immoveable property law, occupational health and safety law, labour law, and comparisons of South African law to other jurisdictions;
  • deeds of transfer, servitudes, notarial tie agreements and applications for endorsement;
  • sale of property agreements;
  • notices of motion, motion applications, affidavits and other pleading-related documentation;
  • share sales, subscription and framework agreements;
  • employment contracts;
  • applications and appeals to regulatory / governmental bodies; and
  • due diligence reports for clients from various industries.
  • Formed part of the advisory team on the following notable transactions -
  • Ezeh v Minister of Home Affairs and 2 others in which CDH represented applicant in litigation at High Court and obtained an order removing applicant's prohibited status and preventing deportation of applicant;
  • Inter alia, the conversion of 60 individual foreign national employee visas to critical skills visas, pursuant to a large-scale retrenchment by Shell (Pty) Ltd in terms of section 189 of the Labour Relations Act, and the closing of Shell's head office, in order to afford employees time to secure alternative employment;
  • Establishment of Kikuyu Village, Extension 81 Township at Waterfall, Midrand;
  • Vukile EUR489 million Spanish Shopping Centres Acquisition;
  • Transcend / IHS transfer of 7 property portfolios to the value of R1.21 billion with the result of Transcend shifting from the AltX to the JSE Main Board; and
  • Eskom Parliamentary Inquiry (2017).
