Christine Bodenstein is a Senior Associate in our Corporate & Commercial practice.

She is experienced in general M&A transaction work, including in respect of the following phases of deals: due diligence, structuring, negotiation, drafting, and implementation. She also has a substantial amount of experience in evaluating compliance with corporate governance principles and best practice, commercial law research and opinions, as well as general company secretarial work.

Christine joined Cliffe Dekker Hofmeyr as a Candidate Attorney in January 2015. She was appointed as an Associate in January 2017. In 2020 Christine was promoted to Senior Associate.

  • Advised Capevin in the simplification of the Distell multi-tiered ownership structure.
  • Assisted Kaap Agri Limited in respect of certain retail fuel operations and a retail fuel related property from C-Max Investments 71 (Pty) Ltd.
  • Advised Remgro in their R9 billion rights issue.
  • Advised on the listing of Kaap Agri Limited on the JSE.
  • Advised on the listing of Newpark REIT on the JSE.
  • Advised Pioneer Foods in respect of the acquisition of the outstanding 50.1% in its joint venture, Heinz Foods SA (Pty) Ltd (a subsidiary of the Kraft Heinz Company).
  • Assisted on the acquisition of various properties by Rebosis from the Billion Group.
  • Advised a number of large listed company groups on their compliance with the Companies Act and King IV, including reviewing and drafting board charters, policies and board committees' mandates.
  • Conducted the due diligence investigation in respect of the acquisition by RMB Holdings of a 25.01 per cent interest in leading South African and European property development group, Atterbury.
  • Involved in a number of prominent merger and take-over transactions, including transactions effected by schemes of arrangement.
  • Involved in a number of listings of companies on the JSE.
  • Formation and administration of companies, drafting and advising on memoranda of incorporation and shareholders’ agreements, company resolutions and assisting with general company secretarial work.
  • Reviewing and drafting announcements, notices and circulars pursuant to the JSE Listings Requirements and the Companies Act.
  • Conducting due diligence investigations in respect of complex commercial transactions.
