Experience

Advised the South African Government and Transnet in the latter's disposal of its shares valued at over $3 billion in MTN Group Limited and the subsequent "monetization" of the shares to ICE Finance BV which transaction involved an international competitive bidding process where advice was given on tendering and procurement policies, drawing of various legal documentation, assessment of bids, negotiations with successful bidder and closure of the transaction
Advised the Department of Public Enterprises and Transnet in the latter's disposal of the remaining 5% shares in MTN Group Limited which transaction included a competitive bidding process by interested parties, drawing various bidding documentation including, request for proposals, information memorandum, various legal transaction documents (a transaction valued in excess of $1,5 billion)
Advised on the acquisition by Batho Bonke Capital (Pty) Limited of 10% of the issued share capital in ABSA Group Limited (a transaction valued in excess of $4 billion) in 2004, and the subsequent refinancing of the transaction during 2009
Advised on the merger of the assets of Mvelaphanda Holdings (Pty) Limited and Rebserve Holdings Limited and the creation of the listed diversified Mvelaphanda Group Limited (a transaction valued in excess of $1,4 billion)
Advised Brimstone Investment Corporation Limited on its acquisition of shares in both Old Mutual plc and Nedcor Limited (a transaction valued at about $7,1 billion)
Advised Vodacom Group Limited in its broad-based BEE transaction (a transaction valued at over $7,5 billion)
Advised Vodacom Group Limited in its acquisition of the data and telephony business of Gateway plc in more than 8 countries in the African continent (a transaction valued at over $4 billion)
Advised in the establishment of African Global Capital, a minerals and resources focused private equity fund with over $3 billion of investments all over the African continent
Advised Mvelaphanda Holdings (Pty) Limited during the restructuring of its shareholding in Mvelaphanda Resources Limited, the introduction of Afripalm Resources as a co-controlling shareholder, the acquisition of the controlling interest in Northam Limited from Anglo Platinum, and the acquisition of Anglo Platinum's entire 50% interest in the Booysendal Platinum Project, a transaction ranked as deal of the year by Dealmakers Magazine in 2008 because of its complexity
Advised Pareto Limited in its acquisition of Old Mutual's 50% ownership interest in the letting business undertaken by Old Mutual in Menlyn Park Shopping Centre and Cavendish Square Shopping Centre for approximately R2,4 billion, a deal regarded as the biggest deal in the SA property sector since the sale of the V&A Waterfront
