Charles Ancer is a director of our Corporate and Commercial practice. Charles’ practice has significant exposure to mining and energy law matters, trusts, estate planning and information technology law. He also has experience in mergers and acquisitions, empowerment transactions, mining and mineral rights matters, upstream and downstream oil matters, joint venture structuring, sales of businesses, and franchise agreements.

Career

Before joining Hofmeyr Herbstein and Gihwala (now Cliffe Dekker Hofmeyr), Charles was a political lobbyist and policy analyst. After studying at Wits, Charles co-wrote a TV sit-com series and attended the AAA School of Advertising. Charles was appointed as an associate in 2004 and a senior associate in 2006. Charles became a director in 2008.

Experience

  • Negotiated, drafted and advised clients regarding numerous acquisitions, disposals and restructurings and cross-border and trans-African transactions.
  • Involved in a number of prominent merger and take-over transactions, including transactions effected by Court sanctioned schemes of arrangements.
  • Advises on mining matters with particular reference to the structuring of transactions.
  • Advises on football matters, including acquisitions and disposals of football clubs (PSL and First Division).
  • Drafting of agreements relevant to merger and acquisition transactions, including share agreements, shareholders agreements, sale of business agreements, joint venture agreements, and share incentive schemes.
  • Involved in restructuring of parastatal entities and divestitures to private equity entities.
  • Advised on an international franchise brand’s granting of sub-Saharan Africa franchise to national franchisee.
  • Advised the national carrier, South African Airways, in its restructuring process.
  • Advises on general commercial and corporate matters.
